As a condition for purchasing the work these additional terms will be required and a ROFR document will need to be signed to this effect:
We ask you to agree that, as a condition of purchase, if you wish to resell the work within 5 years of original purchase, you will first offer the work for consignment to MGG JV CO LLC d/b/a Marian Goodman Gallery (“MGG”), as agent for the Artist, at the price you intend to offer it to any other person or entity (the “Offered Price”). MGG will have two weeks to respond to the offer.
If MGG does not respond during this two-week period, you will be free to sell the work to another person or entity at a price no less than the Offered Price. If MGG does respond to the offer and agrees to purchase the work at the offered price, you will sell the work to MGG at the Offered Price.
We ask you agree that the Artist is an express third-party beneficiary of this agreement.
Please note that while this auction is hosted on Sothebys.com, it is being administered by Pace Gallery, and all post-sale matters (inclusive of invoicing and property pickup/shipment) will be handled by Pace Gallery. As such, Sotheby’s will share the contact details for the winning bidders with Pace Gallery so that they may be in touch directly post-sale.
