Le seguenti pagine hanno lo scopo di fornire informazioni utili su come comprare all’asta. E’ importante che prima di partecipare all’asta Lei legga attentamente le seguenti informazioni. E’ anche importante che Lei noti che Sotheby’s agisce per conto del venditore, ed in particolare, La preghiamo di fare riferimento alle Clausole 2 e 3 delle Condizioni di Vendita per Acquirenti riprodotte nel catalogo online.

I potenziali Acquirenti sono pregati di consultare il nostro sito www.sothebys.com per prendere visione della catalogazione più aggiornata dei lotti presenti in questo catalogo.

Prezzo di aggiudicazione, Commissione d’acquisto, Commissione per Spese Generali e IVA

Al prezzo di aggiudicazione del lotto sarà aggiunta una commissione d’acquisto e una commissione per le spese generali che l’acquirente è tenuto a pagare quale parte dell’ammontare totale dovuto.

La commissione d’acquisto è stabilita nella misura del 25% del prezzo di aggiudicazione del lotto fino alla concorrenza dell’importo di euro 700.000; per ogni parte del prezzo di aggiudicazione eccedente l’importo di euro 700.000 la commissione d’acquisto è stabilita nella misura del 20% fino alla concorrenza dell’importo di euro 3.200.000. Per ogni parte del prezzo di aggiudicazione eccedente euro 3.200.000 la commissione d’acquisto è stabilita nella misura del 13,9%.

La Commissione per le Spese Generali è il contributo alle spese generali di Sotheby's relative ai costi di struttura ed alle altre spese amministrative di Sotheby's ed è pari all’1% sul Prezzo di Aggiudicazione.

Le percentuali sopra indicate sono inclusive di IVA ovvero di una somma sostitutiva di IVA.

IVA Un’Imposta sul Valore Aggiunto (IVA) può essere applicata sul prezzo di aggiudicazione e/o sulla commissione di acquisto e sulla commissione di spese generali. Si prega di leggere attentamente le informazioni relative all’IVA, contenute nella sezione “Simboli”, che segue.

Al fine di armonizzare le procedure fiscali tra i Paesi dell’Unione Europea, con decorrenza 1 gennaio 2001 sono state introdotte in Italia nuove regole con l’estensione alle Case d’Asta del regime del margine. L’art. 45 della legge 342 del 21 Novembre 2000 prevede l’applicazione di tale regime alle vendite concluse in esecuzione ai contratti di commissione definiti con:

• soggetti privati

• soggetti passivi d’imposta che hanno assoggettato l’operazione al regime del margine

soggetti che non hanno potuto detrarre l’imposta ai sensi degli art. 19, 19-bis, e 19-bis2 del DPR. 633/72 (che hanno venduto il bene in esenzione ex-art. 10, 27-quinquies)

• soggetti che beneficiano del regime di franchigia previsto per le piccole imprese nello Stato di appartenenza.

In forza della speciale normativa, nei casi sopracitati eventuale imposta IVA, ovvero una somma sostitutiva di IVA, se applicabile, viene applicata dalla Casa d’Asta. Nessun simbolo verrà usato per i lotti venduti nel regime del margine.

Diritto di Seguito

Il 9 aprile 2006 è entrato in vigore il Decreto Legislativo 13 febbraio 2006, n. 118, che, in attuazione della Direttiva 2001/84/CE, ha introdotto nell’ordinamento giuridico italiano il diritto degli autori di opere d’arte e di manoscritti, ed ai loro aventi causa, ad un compenso sul prezzo di ogni vendita dell’originale successiva alla prima (c.d. “diritto di seguito”). Il “diritto di seguito” è dovuto solo se il prezzo della vendita non è inferiore a euro 3.000,00 . Esso è così determinato:

a) 4% per la parte del prezzo di vendita compresa tra euro 0 e euro 50.000,00 ;

b) 3% per la parte del prezzo di vendita compresa tra euro 50.000,01 e euro 200.000,00;

c) 1% per la parte del prezzo di vendita compresa tra euro 200.000,01 e euro 350.000,00 ;

d) 0,5% per la parte del prezzo di vendita compresa tra euro 350.000,01 e euro 500.000,00;

e) 0,25% per la parte del prezzo di vendita superiore a euro 500.000,00.

I lotti contrassegnati con il simbolo (⊕) sono soggetti al “diritto di seguito” nella percentuale sopra indicata per

un importo totale non superiore a euro 12.500,00. Oltre al “prezzo di aggiudicazione”, alle “commissioni di acquisto”, alla “commissione per le spese generali” e alle altre “spese”,

l’Acquirente si impegna a pagare il “diritto di seguito”. Il “diritto di seguito” sarà addebitato in accordo con l’articolo 5 delle Condizioni di Vendita.

Sotheby’s, in quanto casa d’aste, è tenuta a versare il “diritto di seguito”

alla Società italiana degli autori ed editori (SIAE).

PRIMA DELL’ASTA

Prima dell’inizio dell’asta, le informazioni online relative a ciascun lotto che sarà offerto in vendita saranno disponibili per essere esaminate.

Stime pubblicate

Le stime pubblicate online relative a ciascun lotto sono solo indicative per i potenziali Acquirenti. In ogni caso, tutti i lotti, a seconda del mercato, possono raggiungere prezzi sia superiori che inferiori alle valutazioni indicate.

E’ sempre consigliabile interpellarci all’approssimarsi dell’asta, poiché le stime possono essere soggette a revisione. Le valutazioni d’asta non comprendono la commissione d’acquisto, la commissione per le spese generali, il diritto di seguito (se applicabile) e l’IVA.

Il seguente elenco spiega i simboli che si possono trovare in questo catalogo

⋑ Proposta irrevocabile

I lotti contrassegnati da questo simbolo indicano che Sotheby’s ha ricevuto, in relazione a un lotto che verrà battuto in asta, un’offerta irrevocabile per un importo tale da assicurare che il lotto sia venduto. Nel caso in cui non risulti aggiudicatario del lotto, l’offerente che ha presentato una proposta irrevocabile, il quale abbia fatto un’offerta superiore alla proposta irrevocabile, riceverà un compenso calcolato sul prezzo finale di aggiudicazione. Ove l’offerente che ha presentato una proposta irrevocabile risulti l’aggiudicatario del lotto, gli verrà richiesto di corrispondere l’intera commissione di acquisto e la commissione per le spese generali; in tal caso, egli non riceverà alcun compenso.

Qualora un’offerta irrevocabile sia presentata successivamente alla pubblicazione del catalogo d’asta, prima che il lotto sia offerto in asta verrà comunicata l’esistenza di un’offerta irrevocabile in relazione al lotto. Nel caso in cui l’offerente che ha presentato una proposta irrevocabile agisca in qualità di consulente di un terzo con riferimento al lotto, Sotheby’s gli chiederà di comunicare quale sia il suo interesse economico con riguardo al lotto. Se, con riguardo a un lotto che sia oggetto di una proposta irrevocabile, Lei si avvale di un rappresentante o quest’ultimo formuli un’offerta per Suo conto, Lei dovrà richiedere al Suo rappresentante che egli dichiari se abbia o meno un interesse economico con riguardo al lotto.

△ Lotti di proprietà di Sotheby’s

Nel caso in cui i lotti siano contrassegnati da questo simbolo la proprietà appartiene a Sotheby’s in tutto o in parte oppure Sotheby’s ha un interesse economico equivalente alla proprietà.

⊻ Parti interessate

I Lotti contrassegnati con questo simbolo indicano che le parti che abbiano un interesse diretto o indiretto in relazione al Lotto, tra cui (i) il beneficiario di un’eredità che venda il Lotto o (ii) il comproprietario del Lotto, possono presentare un’offerta relativa allo stesso. Se l'interessato è l'aggiudicatario del Lotto, sarà tenuto a pagare l'intera Commissione di Acquisto e la Commissione per Spese Generali. In alcuni casi, le parti interessate possono conoscere la Riserva. Nel caso in cui l'eventuale partecipazione di una parte che abbia un interesse in un Lotto come sopra indicato sia nota solo dopo la realizzazione del catalogo dell’asta, verrà aggiunto un avviso che indichi che parti interessate possono presentare offerte relative al Lotto.

□ Senza Riserva

Qualora i lotti illustrati nel presente catalogo non siano contrassegnati dal simbolo (□), si intendono soggetti alla vendita con riserva. La riserva è il prezzo d’asta minimo concordato tra Sotheby’s e il venditore, al di sotto del quale il lotto non verrà venduto.

Generalmente la riserva corrisponde ad una percentuale della stima minima e non supera tale valore. Nel caso in cui un lotto sia venduto senza riserva, verrà contrassegnato dal simbolo (□). Qualora tutti i lotti contenuti nel catalogo siano soggetti alla vendita senza riserva, ciò sarà espressamente indicato all’interno delle condizioni di vendita e non verrà utilizzato alcun simbolo in relazione ai singoli lotti.

⊕ Diritto di Seguito

Per i lotti contrassegnati da questo simbolo l’acquirente si impegna a pagare il “diritto di seguito”, nella misura determinata nella sezione sopra riportata “Diritto di Seguito”.

◉ Materiali soggetti a restrizioni

I Lotti contrassegnati con questo simbolo sono stati identificati, al momento della catalogazione, come contenenti materiale organico che può essere soggetto a restrizioni inerenti all’importazione e all’esportazione. Tale informazione è resa disponibile per facilitare gli Acquirenti, ma l’assenza del suddetto simbolo non costituisce garanzia che non vi siano restrizioni all’importazione o all’esportazione del Lotto; coloro che presentano offerte all’asta devono fare riferimento alla Clausola n. 9 delle Condizioni di Vendita relative agli Acquirenti. Si prega di fare riferimento anche alla sezione relativa alle Specie Protette presente di sotto. Come riportato nella sezione dedicata alle Specie Protette, Sotheby’s non è in grado di poter assistere gli Acquirenti nella spedizione negli Stati Uniti di Lotti contrassegnati con il suddetto simbolo.

L'impossibilità per un Acquirente di esportare o importare qualsiasi Lotto contrassegnato con questo simbolo non può giustificare un ritardo nel pagamento o la risoluzione di una vendita.

✧ Lotto Premium

Per poter fare un’offerta sui Lotti Premium (Premium Lots) (contrassegnati con il simbolo nel catalogo online o con il simbolo nel catalogo online) Le verrà richiesto di compilare una domanda di pre-registrazione relativa al Lotto Premium. È necessario che Sotheby’s riceva la Sua domanda di pre-registrazione almeno tre giorni lavorativi prima della vendita. Si prega di tenere presente che non siamo in grado di ottenere referenze di carattere finanziario durante il fine settimana o nei giorni festivi. La decisione di Sotheby’s se accettare o meno una domanda di pre-registrazione sarà definitiva. Se la Sua domanda è accettata, Le sarà fornito un numero di paletta speciale. Se tutti i Lotti del catalogo sono Lotti Premium, verrà inserita un’Avvertenza Speciale a tale riguardo e questo simbolo non verrà utilizzato.

† Lotto proveniente da impresa, dove il valore di aggiudicazione è soggetto ad IVA (attualmente ad una percentuale del 22%).

‡ Lotto in temporanea importazione doganale. Soggetto ad IVA (attualmente ad una percentuale del 10%) sul valore di aggiudicazione, dove applicabile per i residenti in Italia. La chiusura della temporanea importazione doganale del costo di euro 600 piu’ IVA, è a carico dell’acquirente. Sotheby’s non è responsabile per le tempistiche burocratiche.

Condizioni dei Lotti

I potenziali acquirenti si impegnano ad esaminare il lotto durante l’esposizione prima dell’asta. Su richiesta, Sotheby’s potrà fornire un rapporto sulle condizioni del lotto. La mancanza di riferimenti espliciti in merito alle condizioni del lotto non implica che il bene sia senza imperfezioni o difetti. Si prega di fare riferimento alla Clausola 2 delle Condizioni di Vendita pubblicate in catalogo.

Provenienza

In alcune circostanze Sotheby’s può riportare nel catalogo la storia della proprietà di un’opera, se quell’informazione possa contribuire al suo studio o se sia comunque ben nota e valga a distinguere la stessa opera. Tuttavia, l’identità del venditore o dei precedenti proprietari potrà non essere resa pubblica per una serie di ragioni. Per esempio, quell’informazione potrà essere esclusa per assecondare la richiesta di riservatezza da parte del venditore o perché l’identità del precedente proprietario non è nota a causa dell’età dell’opera.

Beni Elettrici e Meccanici

Tutti i beni di natura elettrica o meccanica sono da considerarsi solamente sulla base del loro valore artistico e decorativo, e non sono da considerarsi funzionanti. E’ importante prima dell’uso che il sistema elettrico sia certificato da un elettricista qualificato.

OFFERTE PER L’ASTA

Offerte in Asta

Le offerte possono essere eseguite personalmente mediante una paletta durante l’asta, mediante un’offerta scritta prima dell’asta o per telefono o online attraverso la Piattaforma Online qualora disponibile per l’asta prescelta. La velocità dell’asta può variare, tra i 50 e i 120 lotti l’ora. L’incremento delle offerte è generalmente del 10% rispetto a quella precedente. Si prega di fare riferimento alla Clausola 4 delle Condizioni di Vendita pubblicate in catalogo.

Offerte in sala

Al fine di migliorare le procedure d’asta, è richiesto a tutti i potenziali Acquirenti di munirsi di una paletta per le offerte prima che inizi la vendita. Sarà possibile pre-registrarsi anche durante i giorni di esposizione.

Compilando e firmando il modulo di registrazione e di attribuzione della paletta numerata, l’acquirente si impegna ad accettare le “Condizioni di Vendita” pubblicate alla fine del catalogo, nonché quanto stabilito qui di seguito.

Se agite come rappresentante per una terza persona, si richiede una autorizzazione scritta. Tutti i potenziali acquirenti sono pregati di portare con sé un documento di identità. Le palette numerate possono essere utilizzate per indicare le Vostre offerte al banditore durante l’asta. Se doveste essere gli aggiudicatari di un lotto, siete pregati di assicurarVi che la Vostra paletta possa essere vista dal banditore e che sia il Vostro numero ad essere annunciato. Se ci dovessero essere dei dubbi riguardo

al prezzo o all’Acquirente, siete pregati di attirare immediatamente l’attenzione del banditore su di Voi. Tutti i lotti venduti saranno fatturati al nome ed all’indirizzo rilasciati al momento dell’assegnazione delle palette d’offerta numerate e non potranno essere trasferiti ad altri nomi ed indirizzi. Siete pregati di non smarrire la Vostra paletta e, in caso di perdita, di informarne l’assistente del banditore. Al termine dell’asta siete pregati di restituire la Vostra paletta al banco registrazioni. Questo sistema non riguarda chi partecipa all’asta tramite offerta scritta previamente inviata a Sotheby’s.

Offerte prima dell’asta

Se Lei non può partecipare all’asta di persona, potrà, alternativamente (1) sottoporre un’offerta scritta prima dell’asta dal vivo o, per specifiche aste, fare un’offerta online su sothebys.com ovvero tramite Sotheby’s App (ciascuna una “piattaforma online” e, congiuntamente, “piattaforme online”) prima dell’inizio dell’asta, o infine (3) fare un’offerta telefonica.

Per sottoporre un’offerta scritta occorrerà inviare una email all’indirizzo bids.milan@sothebys.com. Occorrerà fornire nome e cognome, indirizzo, numero e data di scadenza di un documento d’identità, numero del lotto ed offerta massima relativa a quel lotto.

Per fare offerte online occorre che lei si registri mediante apertura di un conto presso Sotheby’s e fornisca le informazioni richieste. Una volta effettuata la registrazione, lei potrà navigare online ed accedere al lotto che le interessa e cliccare il bottone “Place Bid” per avviare il processo di offerta di acquisto. Lei potrà formulare un’offerta al livello o superiore al livello dell’offerta iniziale indicata sulle piattaforme online. Le segnaliamo che Sotheby’s si riserva il diritto di modificare l’offerta iniziale prima dell’inizio dell’asta dal vivo. Lei potrà anche indicare la sua offerta massima che, previa conferma, sarà eseguita automaticamente fino a tale valore massimo predefinito, in risposta ad altre offerte, incluse quelle formulate da Sotheby’s nell’interesse del venditore, fino all’ammontare della riserva (se applicabile). La maggior offerta attualmente formulata sarà visibile da tutti gli offerenti; il valore e lo status della sua offerta massima sarà visibile solo da Lei. Se lo status della sua offerta cambia, Lei sarà informato per email e tramite messaggi “push” (se Lei ha acconsentito a notifiche push sul suo dispositivo) prima dell’inizio dell’asta dal vivo. Lei può aumentare la sua offerta massima in ogni momento prima dell’asta dal vivo. Le segnaliamo che in alcuni casi, clienti le cui offerte siano state superate da maggiori offerte, possono essere reinseriti come offerenti con l’offerta più alta e riceveranno una notifica via email o tramite messaggi “push” (se il suo dispositivo lo acconsenta). Per sottoporre un’offerta telefonica, poiché le linee telefoniche disponibili sono limitate, è necessario inviare la richiesta entro le 24 ore prima dell’inizio dell’asta. I collegamenti telefonici durante l’asta potranno essere registrati.

Le suggeriamo di lasciare un’offerta massima, che eseguiremo per Suo conto, nel caso in cui fossimo impossibilitati a contattarLa telefonicamente. Offerte da parte dei Dipendenti

I dipendenti di Sotheby’s possono effettuare offerte in un’asta di Sotheby’s solo se il dipendente non è a conoscenza del prezzo di riserva e se effettua l’offerta nel pieno rispetto delle regolamentazioni interne che regolano le offerte in asta dei dipendenti.

Sanzioni Economiche

Gli Stati Uniti, il Regno Unito e l’Unione Europea applicano sanzioni economiche e commerciali contro alcuni paesi, gruppi e organizzazioni straniere. Potrebbero esserci restrizioni sull’importazione negli Stati Uniti, nel Regno Unito e nell’Unione Europea di alcuni articoli originari di paesi sanzionati. L’impossibilità o incapacità dell’Acquirente di importare beni in questi paesi o in qualsiasi altro Paese come effetto di queste o altre restrizioni non può giustificare la cancellazione o risoluzione della vendita o qualsiasi ritardo nel pagamento. La preghiamo di controllare con gli specialisti di dipartimento qualora Lei non sia certo se un Lotto sia soggetto a queste restrizioni alla importazione o a qualsiasi altra restrizione alla importazione o esportazione.

L’ASTA

Condizioni di Vendita

L’asta è regolata dalle Condizioni di Vendita e dalle Condizioni di Mandato, e la Garanzia di Autenticità. Si prega di fare riferimento alla Clausola 2.3 delle Condizioni di Vendita. Queste si applicano a tutti gli aspetti delle relazioni tra Sotheby’s e l’attuale o il potenziale offerente e acquirente. Chiunque fosse interessato ad offrire in asta è pregato di leggere attentamente tali condizioni. Queste possono essere modificate mediante un avviso affisso nella sala d’asta o tramite un annuncio fatto dal banditore d’asta.

Avviso relativo a parti interessate

Nel caso in cui una persona a cui sia stata concessa la possibilità di effettuare un’offerta relativa ad un lotto abbia un interesse diretto o indiretto sul medesimo, quale ad esempio il beneficiario o l’esecutore testamentario che abbia venduto il lotto, oppure il comproprietario del lotto o un’altra parte che abbia prestato una garanzia per il lotto, Sotheby’s darà notizia tramite annuncio in sala che parti con un interesse nel lotto potranno partecipare alla vendita all’asta del lotto in questione. A certe condizioni le parti interessate potranno essere a conoscenza della riserva.

Offerte di rilancio e di risposta

Il banditore può aprire le offerte su ogni lotto formulando un’offerta nell’interesse del venditore. Il banditore può inoltre fare offerte nell’interesse del venditore, fino all’ammontare della riserva, formulando offerte di rilancio e di risposta per un lotto. Si prega di fare riferimento alla Clausola 4 delle Condizioni di Vendita pubblicate in catalogo.

DOPO L’ASTA

Pagamento degli acquisti

Se Lei si è aggiudicato un lotto, il pagamento deve essere effettuato immediatamente dopo l’asta e può essere corrisposto nei seguenti metodi: contanti, assegno circolare, assegno bancario di conto corrente, Bancomat o Carta di Credito (Visa o Mastercard).

Sotheby’s intesterà la fattura alla medesima persona che risulti all’atto della registrazione della paletta.

• Come richiesto dalla legge italiana, Sotheby’s potrà accettare pagamenti singoli o multipli in contanti o equivalenti a contanti per importi inferiori a euro 1. 000,00.

• Come richiesto dalla legge italiana, Sotheby’s è tenuta a richiedere ai propri clienti l’esibizione di un documento di identità (carta di identità, passaporto) e la conferma del domicilio.

L’acquirente che fosse intenzionato a pagare con assegno è pregato di prendere accordi con l’Amministrazione, di cui troverà i dettagli all’inizio del catalogo. Non è possibile consegnare le merci contro pagamento a mezzo assegno bancario o circolare sino all’incasso dell’assegno, se non diversamente concordato prima dell’asta.

Si prega di indicare il proprio nome, numero conto Sotheby’s ed il numero della fattura.

Il pagamento può essere fatto mediante Bancomat, Visa o Mastercard solo dal titolare della carta, anche per corrispondenza, sino ad un massimo di €35.000 per asta. Si prega di notare che per quest’asta non è possibile utilizzare la Sotheby’s Mobile App per effettuare i pagamenti.

Sotheby’s si riserva la facoltà di controllare la provenienza dei pagamenti ricevuti. Sotheby’s si riserva il diritto

di non accettare pagamenti ricevuti da persone differenti dall’acquirente e verranno comunque richieste

autorizzazioni a tal riguardo. Si prega di contattare il nostro Ufficio Contabilità per maggiori informazioni in merito alle autorizzazioni.

Le “Condizioni di Vendita” impongono agli acquirenti il pagamento immediato dei beni acquistati. Tuttavia in limitate circostanze e comunque con il consenso del venditore, Sotheby’s ha la possibilità di offrire agli acquirenti che ritenga affidabili la facoltà di pagare i beni acquistati a cadenze dilazionate. Normalmente le modalità di pagamento dilazionato dovranno essere definite prima della vendita. Prima di stabilire

se concedere o meno pagamenti dilazionati, Sotheby’s può chiedere referenze sull’affidabilità dell’acquirente e documentazione sulla sua identità e residenza. Non Le sarà permesso di ritirare il lotto sino a che non avrà corrisposto il pagamento, a meno che non Le sia stato accordato un credito prima dell’asta.

Ritiri

Al momento del ritiro del lotto, Sotheby’s richiederà all’acquirente un documento attestante la Sua identità. I lotti saranno consegnati all’acquirente o a persona incaricata per il ritiro solo ad avvenuto pagamento.

Prima di organizzare il ritiro del lotto, si prega di controllare con l’Amministratrice di dipartimento dove è conservato il bene.

Spese di trasporto, interessi, magazzinaggio saranno addebitati ai lotti non ritirati. Si prega di fare riferimento alla Clausola 6 delle Condizioni di Vendita pubblicate in catalogo.

Magazzinaggio

Spese di Magazzinaggio e di trasporto potrebbero essere addebitate ai lotti. Per maggiori informazioni in merito si prega di fare riferimento alle Notizie Importanti per gli Acquirenti e alla Clausola 6 delle Condizioni di Vendita pubblicate in catalogo.

Responsabilità di perdita/ danneggiamento

Gli acquirenti sono pregati di notare che Sotheby’s sarà responsabile per la perdita o danneggiamento del bene per un massimo di trenta (30) giorni lavorativi dalla data della vendita. Si prega di fare riferimento alla Clausola 7 delle Condizioni di Vendita pubblicate in catalogo.

Esportazione dall’Italia dei lotti acquistati

L’esportazione di cose di interesse cultural al di fuori del territorio della Repubblica italiana è assoggettata alla disciplina prevista dal D.Lgs. 22 gennaio 2004, n. 42, alle condizioni ivi previste. L’esportazione di cose di interesse culturale al di fuori del territorio dell’Unione Europea è altresì assoggettata alla disciplina prevista dal Regolamento del Consiglio CE n. 116/2009 del 18 dicembre 2009. Per esportare il lotto può essere necessario ottenere un’autorizzazione. L’acquirente è responsabile per l’ottenimento di questa autorizzazione. Sotheby’s non risponde per quanto concerne questa autorizzazione né può garantire il rilascio della medesima.

Il pagamento degli acquisti dovrà essere comunque effettuato nei termini stabiliti e la negazione di un

Permesso di esportazione non può essere addotta come motivo di cancellazione dell’acquisto e tantomeno

giustificare il mancato pagamento del lotto in oggetto.

Le offerte non verranno accettate se non sotto le Condizioni sopra descritte. Tutte le opere in esportazione sono soggette alle norme vigenti in materia, nonché alle relative imposte e norme valutarie.

In riferimento alle norme contenute nel DPR 633, si informano i gentili acquirenti che, nel caso in cui volessero trasportare il bene fuori dal territorio comunitario e, ricorrendone le condizioni, ottenere il rimborso

dell’IVA, è necessario attivare le seguenti procedure:

• completare le pratiche doganali e il trasporto fuori da territorio U.E.

entro tre mesi a partire dalla data di fatturazione.

• far pervenire entro il mese successivo ai suddetti tre mesi la bolla doganale originale direttamente a Sotheby’s.

Il termine di tre mesi, decorrenti dalla data di fatturazione, potrebbe essere sospeso per il tempo necessario ad ottenere la licenza di esportazione dal Ministero della Cultura.

Specie Protette

Tutti i beni fatti o contenenti parti di piante o animali, come ad esempio corallo, coccodrillo, avorio, osso di balena, tartaruga, etc., indipendentemente dall’età e dal valore, potrebbero richiedere una licenza o un certificato prima dell’esportazione e richiedere ulteriori licenze o certificati per l’importazione nei paesi Extra CEE. Si prega di notare che l’aver ottenuto la licenza o il certificato in esportazione non garantisce alcuna licenza o certificato per l’importazione e vice versa. E’ illegale importare avorio di elefanti africani negli Stati Uniti e inoltre ci sono ulteriori restrizioni all’importazione di avorio negli Stati Uniti in base a determinate leggi statunitensi concepite per conservare la fauna selvatica. Sotheby’s consiglia i potenziali acquirenti di controllare le proprie legislazioni circa i requisiti necessari per le importazioni di beni fatti o contenenti specie protette. BUYING AT AUCTION

The following pages are designed to give you useful information on how to buy at auction. However, it is important that you read the following information carefully and note that Sotheby’s acts for the seller; you should refer in particular to Conditions 2 and 3 of the “Condizioni di Vendita” published in this catalogue.

Prospective bidders should also consult www.sothebys.com for the most up to date cataloguing of the property in this online catalogue.

Buyer’s Premium and Overhead Premium

A buyer’s premium and overhead premium will be added to the hammer price and is payable by the buyer as part of the total purchase price.

The buyer’s premium is 25% of the hammer price up to and including €700,000, 20% of any amount in excess of €700,000 up to and including €3,200,000, and 13.9% of any amount in excess of €3,200,000.

The overhead premium, which covers an allocation of Sotheby's overhead costs relating to our facilities, property handling and other administrative expenses, is 1% of the hammer price.

All the rates quoted above are inclusive of VAT or an amount in lieu of VAT.

VAT Value Added Tax (VAT) may be payable on the hammer price and/or the buyer’s premium and overhead premium. Buyer’s premium and overhead premium may attract a charge in lieu of VAT. Please read carefully the “Symbol Key” section published in this catalogue.

For the purpose of harmonisation of the fiscal procedure between the members of the European Union, on 1st January 2001 Italy implemented new rules on the applicability of the margin scheme to auctioneers. Section 45 of law 342 of 21st November 2000 provides that the margin scheme applies to sale agreements with any of the following parties pursuant to which a commission is due to an auction house:

• individuals;

• tax payers that elect for the sale to be subject to the margin scheme;

• tax payers that could not deduct VAT pursuant to sections 19, 19-bis, and 19-bis2 of law 633/72 (and sold the property using the exemption provided in sections 10, 27-quinquies of the aforesaid law);

• tax payers that benefit in their home country from the duty-free regime for small-sized undertakings.

CE, thereby introducing into the Italian legal system the right for authors of works of art and manuscripts and their beneficiaries to receive a royalty from the proceeds of each subsequent sale of the work following the original sale.

Artist’s Resale Right

Artist’s Resale Right is payable only if the sale price exceeds euro 3,000.00 and is calculated as follows:

Lots marked with the symbol (⊕) will be subjected to the Artist’s Resale Right at the percentages indicated above, subject to a maximum royalty payable of euro 12,500. In addition to the hammer price, buyer’s premium, overhead premium and all other costs, the buyer undertakes to pay the Artist’s Resale Right. Artist’s Resale Right will be charged according to Condition 5 of “the Condizioni di Vendita” published in this catalogue.

Sotheby’s is responsible for forwarding any Artist’s Resale Rights to the Italian Society of Authors and Editors (SIAE).

Pre-sale Estimates

Pre-sale estimates are intended as a guide for prospective buyers. Any bid between the high and low pre-sale estimates would, in our opinion, offer a chance of success. However, all lots can realise prices above or below the pre-sale estimates. It is advisable to consult us nearer the time of sale as estimates can be subject to revision. The estimates published online in the auction catalogue do not include the buyer’s premium, overhead premium, any applicable Artist’s Resale Right levy or VAT.

The following key explains the symbols you may see inside this catalogue.

⋑ Irrevocable Bid

Lots with this symbol indicate that a party has provided Sotheby’s with an irrevocable bid on the lot that will be executed during the sale at a value that ensures that the lot will sell. The irrevocable bidder, who may bid in excess of the irrevocable bid, will be compensated based on the final hammer price in the event he or she is not the successful bidder. If the irrevocable announcement, by written notice at the auction or by including an irrevocable bid symbol in the e-catalogue for the sale prior to the auction. If the irrevocable bidder is advising anyone with respect to the lot, Sotheby’s requires the irrevocable bidder to disclose his or her financial interest in the lot. If an agent is advising you or bidding on your behalf with respect to a lot identified as being subject to an irrevocable bid, you should request that the agent disclose whether or not he or she has a financial interest in the lot.

△ Property in which Sotheby’s has an Ownership Interest

Lots with this symbol indicate that Sotheby’s owns the lot in whole or in part of has an economic interest in the lot equivalent to an ownership interest.

⊻ Interested Parties

Lots with this symbol indicate that parties with a direct or indirect interest in the lot may be bidding on the lot, including (i) the beneficiary of an estate selling the lot, or (ii) the joint owner of a lot. If the interested party is the successful bidder, they will be required to pay the full Buyer’s Premium and Overhead Premium. In certain instances, interested parties may have knowledge of the reserve. In the event the interested party’s possible participation in the sale is not known until after the printing of any the auction catalogue, a notice will be added made indicating that interested parties may be bidding on the lot.

□ No Reserve

Unless indicated by a box (□), all lots in this catalogue are offered subject to a reserve. A reserve is the confidential minimum auction price established between Sotheby’s and the seller and below which a lot will not be sold. The reserve is generally set at a percentage of the low estimate and will not exceed the low estimate for the lot. If any lots in the catalogue are offered without a reserve, these lots are indicated by a box (□). If all lots in the catalogue are offered without a reserve, a Special Notice will be included to this effect and the box symbol will not be used.

◉ Restricted Materials

Lots with this symbol have been identified at the time of cataloguing as containing organic material which may be subject to restrictions regarding import or export. The information is made available for the convenience of Buyers and the absence of the Symbol is not a warranty that there are no restrictions regarding import or export of the Lot; Bidders should refer to Condition 9 of the Conditions of Business for Buyers. Please also refer to the section on Endangered Species in the Buying at Auction Guide. As indicated in the Endangered Species section, Sotheby’s is not able to assist buyers with the shipment of any lots with this symbol into the US or the EU.

A buyer’s inability to export or import any lots with this symbol cannot justify a delay in payment or a sale’s cancellation.

✧ Premium Lot

In order to bid on “Premium Lots” ( in print catalogue or in eCatalogue) you will be requested to complete a Premium Lot pre-registration application. You must arrange for Sotheby’s to receive your pre-registration application at least three working days before the sale. Please bear in mind that we are unable to obtain financial references over weekends or public holidays. Sotheby’s decision whether to accept any pre-registration application shall be final. If your application is accepted, you will be provided with a special paddle number. If all lots in the catalogue are “Premium Lots”, a Special Notice will be included to this effect and this symbol will not be used.

⊕ Artist’s Resale Right

Purchased lots marked with this symbol will be subject to payment of the artist’s resale right in the amount specified in the section headed Artist’s Resale Rights.

† Lots offered by a company, where the hammer price is subject to VAT (currently at a rate of 22%).

‡ Please note that this item has been imported under a temporary customs licence. The hammer price for the lot, where applicable, will be subject to a reduced rate of VAT (currently at a rate of 10%) for Italian residents only. Condition of Lots

Prospective buyers are encouraged to inspect the property at the pre-sale exhibitions. Solely as a convenience, Sotheby’s may provide condition reports. The absence of reference to the condition of a lot in the catalogue description does not imply that the lot is free from faults or imperfections. Please refer to Condition 2 of the “Condizioni di Vendita” published in this catalogue.

Provenance

In certain circumstances, Sotheby’s may publish in the catalogue the history of ownership of a work of art if such information contributes to scholarship or is otherwise well known and assists in distinguishing the work of art. However, the identity of the seller or previous owners may not be disclosed for a variety of reasons. For example, such information may be excluded to accommodate a seller’s request for confidentiality or because the identity of prior owners is unknown given the age of the work of art.

Electrical and Mechanical Goods

All electrical and mechanical goods are sold on the basis of their artistic and decorative value only, and should not be assumed to be operative. It is essential that prior to any intended use, the electrical system is checked and approved by a qualified electrician.

BIDDING IN THE SALE

Bidding at Auction

Bids may be executed in person by paddle during the auction, in writing prior to the sale or by telephone or online via an Online Platform, where available for the specific auction. Auction speeds vary, but average between 50 and 120 lots per hour. The bidding steps are generally in increments of approximately 10% of the previous bid. Please refer to Condition 4 of the “Condizioni di Vendita” published in this catalogue.

Bidding in Person

To bid in person, you will need to register for and collect a numbered paddle before the auction begins. Proof of identity will be required. If you have a Sotheby’s Identification Card, it will facilitate the registration process.

Should you be the successful buyer of a lot, please ensure that your paddle can be seen by the auctioneer and that it is your number that is called out. Should there be any doubts as to price or buyer, please draw the auctioneer’s attention to it immediately. All lots sold will be invoiced to the name and address in which the paddle has been registered and cannot be transferred to other names and addresses. Please do not mislay your paddle; in the event of loss, inform the Sales Clerk immediately. At the end of the sale, please return your paddle to the registration desk.

Bidding in advance of the live auction

If you are unable to attend the auction in person, you may either (1) submit an offer in writing prior to the live auction or, (2) alternatively for certain auctions, you may bid online on sothebys.com or via the Sotheby’s App (each an “Online Platform” and together, the “Online Platforms”) prior to the start of the live auction or (3) place an offer by telephone.

To submit an offer in writing, you must email bids.milan@sothebys.com. You must provide your name and address, personal ID number and ID expiry date, lot number and maximum offer.

To bid online, you must register an account with Sotheby’s and provide the requested information. Once you have done so, navigate to your desired lot and click the “Place Bid” button to start the process. You may bid at or above the starting bid displayed on the Online Platforms. Please note that Sotheby’s reserves the right to amend the starting bid prior to the start of the live auction. You may also input your maximum bid which, upon confirmation, will be executed automatically up to this predefined maximum value, in response to other bids, including bids placed by Sotheby’s on behalf of the seller, up to the amount of the reserve (if applicable). The current leading bid will be visible to all bidders; the value and status of your maximum bid will be visible only to you. If the status of your bid changes, you will receive notifications via email and push (if you have enabled push notifications on your device) prior to the start of the live auction. You may raise your maximum bid at any time in advance of the live auction. Please note that in certain circumstances clients who have been outbid may be reinstated as the leading bidder and will receive notification via email or push (if enabled on your device). Please refer further to the “DURING THE AUCTION section below. Online bids are made subject to the Additional Terms and Conditions for Online Bidding, which are published below and can also be viewed at sothebys.com, as well as the Conditions of Business applicable to the sale. Online bidding may not be available for Premium Lots.

Bidding by Telephone

To bid on the telephone, as the number of telephone lines is limited, it is necessary to make arrangements for this service 24 hours before the sale.

We also suggest that you leave a maximum bid which we can execute on your behalf in the event we are unable to reach you by telephone. Multi-lingual staff are available to execute bids for you. Please refer to Condition 4 of the “Condizioni di Vendita” published in this catalogue.

Bidders using an Online Platform are subject to the Additional Terms and Conditions for Online Bidding, which are published below and can also be viewed at sothebys.com, as well as the Conditions of Business applicable to the sale. Online bidding may not be available for Premium Lots.

Employee Bidding

Sotheby’s employees may bid only if the employee does not know the reserve and fully complies

with Sotheby’s internal rules governing employee bidding.

Economic Sanctions

The United States, the United Kingdom and the European Union maintain economic and trade sanctions against targeted foreign countries, groups and organisations. There may be restrictions on the import into the United States, the United Kingdom and the European Union of certain items originating in sanctioned countries. The purchaser’s inability to import any item into these countries or any other country as a result of these or other restrictions shall not justify cancellation or rescission of the sale or any delay in payment. Please check with the specialist department if you are uncertain as to whether a lot is subject to these import restrictions, or any other restrictions on importation or exportation.

Currency Board As a courtesy to bidders, a currency board is operated in many salerooms. It displays the lot number and current bid in both Euros and foreign currencies. Exchange rates are approximations based on recent exchange rate information and should not be relied upon as a precise invoice amount. Sotheby’s assumes no responsibility for any error or omission in the currency amounts shown.

THE AUCTION

Conditions of Business

The auction is governed by the “Conditions of Business for Sellers, the Conditions of Business for Buyers and Sotheby’s Authenticity Guarantee”. These apply to all aspects of the relationship between Sotheby’s and actual and prospective bidders and buyers.

Anyone considering bidding in the auction should read them carefully.

They may be amended by way of notices posted in the saleroom or by way of announcement made by the auctioneer.

Interested Parties Announcement

In situations where a person who is allowed to bid on a lot has a direct or indirect interest in such lot, such as the beneficiary or executor of an estate selling the lot, a joint owner of the lot, or a party providing or participating in a guarantee of the lot, Sotheby’s will make an announcement in the saleroom that interested parties may bid on the lot. In certain instances, interested parties may have knowledge of the reserves.

Consecutive and Responsive Bidding

The auctioneer may open the bidding on any lot by placing a bid on behalf of the seller. The auctioneer may further bid on behalf of the seller, up to the amount of the reserve, by placing consecutive or responsive bids for a lot. Please refer to Condition 4 of the “Condizioni di Vendita” published in this catalogue.

AFTER THE AUCTION

Payment for purchased property If you are the successful bidder on a lot, payment is to be made immediately following a sale and may be made by the following methods: cash, banker’s draft, cheque, wire transfer, Bancomat or credit card (Visa or Mastercard).

Invoices issued for successful auction purchases will be made out to the bearer of the paddle.

• As required by Italian law, Sotheby’s is able to accept single or multiple related payments in the form of cash or cash equivalents below euro 1,000.00.

• As required by Italian law, Sotheby’s is required to request all clients to provide: proof of identity (by providing some form of government issued identification containing a photograph, such as a passport or identity card) and confirmation of address.

A buyer wishing to pay by cheque or banker’s draft is advised to make arrangements to do so with a Sotheby’s representative from our Administration Department whose name is published in the front of the catalogue. Unless such arrangements are made prior to the sale, a buyer will not be permitted to remove purchases paid for by cheque until the cheque has cleared.

Payment can only be made by Bancomat, Visa or Mastercard by the cardholder, up to €35.000 per sale. Please note that is not possible to use the Sotheby’s Mobile App to settle payments for this sale.

We reserve the right to seek identification of the source of funds received. Please note that we reserve the right to decline payments received from anyone other than the buyer of record and that clearance of such payments will be required. Please contact our Client Accounts Department if you have any questions concerning clearance.

The “Condizioni di Vendita” require buyers to pay immediately for their purchases. However, in limited circumstances and generally with the seller’s agreement, Sotheby’s may offer buyers it deems creditworthy the option of paying for their purchases on an extended payment term basis. Generally credit terms must be arranged prior to the sale. In advance of determining whether to grant the extended payment terms, Sotheby’s may require credit references and proof of identity and residence. You will not be permitted to take delivery of your purchases until payment is made, unless a credit arrangement has been established prior to the sale.

Collection

It is Sotheby’s policy to request proof of identity on collection of a lot. Lots will be released to you or your authorised representative when full and cleared payment has been received by Sotheby’s.

If you are in doubt about the location of your purchases, please contact the Sale Administrator prior to arranging collection. Removal, interest, storage and handling charges will be levied on uncollected lots. Please refer to Condition 6 of the “Condizioni di Vendita” published in this catalogue.

Storage

Storage and handling charges may apply. For information concerning post sale storage and charges, please see the Important Notice to Buyers published in this catalogue. Please refer to Condition 6 of the “Condizioni di Vendita” published in this catalogue.

Loss or Damage

Buyers are reminded that Sotheby’s accepts liability for loss or damage to lots for a maximum period of thirty (30) days after the date of the auction. Please refer to Condition 7 of the “Condizioni di Vendita” published in this catalogue.

Shipping

Sotheby’s Shipping Department can advise Buyers on exporting and shipping property. Our office is open between the hours of 10am to 1pm and from 2pm to 6pm. You can contact the Shipping advisor at +39 02 295001 or by email : Shipping.Milan@sothebys.com.

Purchases will be despatched as soon as possible upon clearance from the Client Accounts department and receipt of your written despatch instructions and of any authorisation or certificates that may be required.

Despatch will be arranged at the buyer’s expense. Estimates and information on all methods can be provided upon request and enquiries should be marked for the attention of Sotheby’s Shipping Department and faxed to 39 02 29518595 or emailed to Shipping.Milan@sothebys.com.

Additionally, a form to provide shipping instructions is attached to the buyer’s invoice.

Your shipper will include a quote for transit insurance. All shipments should be unpacked and checked on delivery and any discrepancies notified to the transit insurer or shipper immediately.

Export requirements

Export of Cultural Works of Art from Italy is subject to Law n. 42 of 22nd January 2004 and later amendments. Export of Cultural Works of Art out of the European Community is ruled by Council Regulation (EC) No. 116/2009 of 18 December 2009.

An authorisation may be required for the lot. It is the buyer’s responsibility to obtain any relevant authorisation and Sotheby’s is not responsible and cannot guarantee that the authorisation will be granted. However, as payment for the purchases is due immediately after the auction, the denial of the authorisation required or delay in obtaining such authorisation cannot justify the cancellation of the sale or any delay in making payment of the total amount due. A European Union export licence may be required if the lot is exported outside the European Union. All exports from Italy are subject to local regulations.

According to DPR 633 we kindly inform our clients that, if they decide to ship goods outside the European Union and they want the paid VAT refunded, provided that the relevant conditions for such refund are met, they need to:

• complete all customs procedures and shipment outside the European Union within 3 months starting from the date of the invoice; and

• to ensure that the original customs papers will arrive directly at Sotheby’s Italia within one month after the above mentioned 3 months.

A different procedure for VAT refund will apply where the client is required to obtain an export licence from the export office of the Ministero della Cultura.

The 3-month period, which begins on the date of the invoice, might be suspended for such a period of time as is necessary to obtain the export licence.

Endangered Species

Items made of or incorporating plant or animal material, such as coral, crocodile, ivory, whalebone, tortoiseshell, etc., irrespective of age or value, may require a licence or certificate prior to exportation and require additional licences or certificates upon importation to any country outside the EU. Please note that the ability to obtain an export licence or certificate does not ensure the ability to obtain an import licence or certificate in another country, and vice versa. It is illegal to import African elephant ivory into the United States and there are significant restrictions amounting to an almost total ban on the import and export of any elephant ivory into the UK and the EU. Sotheby’s suggests that buyers check with their own government regarding wildlife import requirements prior to placing a bid. It is the buyer’s responsibility to obtain any export or import licences and/or certificates as well as any other required documentation. Please refer to Condition 9 of the “Condizioni di Vendita” published in this catalogue. Please note that Sotheby’s is not able to assist buyers with the shipment of any Lots containing ivory and/or other restricted materials into the US, the UK and the EU. A buyer’s inability to export or import these Lots cannot justify a delay in payment or a sale’s cancellation.

CONDIZIONI DI VENDITA

1. DEFINIZIONI

(a) “Acquirente” è la persona fisica o giuridica che fa in asta l’offerta più alta accettata dal banditore;

(b) “commissione d’acquisto” è la somma dovuta a “Sotheby’s” da parte di un “Acquirente”, calcolata in misura percentuale sul “prezzo” in base alle tariffe pubblicate nel catalogo d’asta;

(c) “spese” in relazione all’acquisto di un lotto, sono tutte le spese dovute dall’ “Acquirente” a “Sotheby’s” e comprendono (ma non si limitano a): le imposte di qualsiasi tipo, i costi di imballaggio e di spedizione, le spese di recupero delle somme dovute da un “Acquirente” inadempiente, il diritto di seguito, che l’ “Acquirente” si impegna a pagare;

(d) “commissione per spese generali” è il contributo alle spese generali di Sotheby’s relative ai costi di struttura ed alle altre spese amministrative di Sotheby’s addebitate all’Acquirente e calcolate sul Prezzo di Aggiudicazione alle tariffe indicate nella Guida per gli Acquirenti di Sotheby’s per l’asta e un importo corrispondente all’IVA applicabile;

(e) il “prezzo” è il prezzo a cui il lotto viene aggiudicato in asta dal banditore all’Acquirente o, nel caso di vendita mediante trattativa privata, il prezzo concordato fra “Sotheby’s” ed “Acquirente”, al netto della “commissione d’acquisto”;

(f) “Venditore” è la persona fisica o giuridica proprietaria del lotto offerto in vendita in asta o mediante trattativa privata da Sotheby’s, in qualità di sua mandataria;

(g) “riserva” è il prezzo minimo (confidenziale) a cui il Mandante ha concordato con Sotheby’s di vendere il lotto;

(h) “Sotheby’s” è la “Sotheby’s” Italia S.r.l., con sede in Palazzo Serbelloni, Corso Venezia 16, 20121 Milano;

(i) “società del gruppo Sotheby’s” è qualunque società controllata da o controllante la “Sotheby’s” ai sensi dell’art. 2359, comma 1 nn. 1) e 2) c.c. e dell’art. 93 del decreto legislativo 24 febbraio 1998 n. 58, nonché qualunque società controllata da società controllante la “Sotheby’s” nonché Sotheby’s Diamonds S.A. e le sue controllate;

(j) “l’ammontare totale dovuto” è il “prezzo” relativo al lotto venduto in asta, oltre alla “commissione d’acquisto”, alla “commissione per spese generali” e alle “spese”;

(l) “contraffazione” di un lotto offerto in vendita in asta è un lotto che secondo la ragionevole opinione di Sotheby’s è una imitazione, non descritta come tale nel catalogo, creata a scopo di inganno sulla paternità, origine, data, età, periodo, cultura o fonte, che alla data della vendita aveva un valore inferiore a quello che avrebbe avuto se il bene fosse stato corrispondente alla descrizione del catalogo. Non costituisce una contraffazione un lotto che sia stato restaurato o sottoposto a opere di modifica di qualsiasi natura (tra cui la ri- pitturazione o la sovra pitturazione);

(m) “dati” sono i dati personali, come definiti dall’art. 4, comma 1, lett. B) del D.Lgs. n. 196 del 30 giugno 2003 e successive modifiche (“Codice in materia di protezione dei dati personali”), forniti, anche verbalmente e/o telefonicamente, dall’“Acquirente”, nonché quelli raccolti in dipendenza dell’asta o quelli comunque afferenti la vendita all’asta.

2. OBBLIGHI DI “SOTHEBY’S” NEI CONFRONTI DELL’ACQUIRENTE

2.1 “Sotheby’s” agisce in qualità di mandataria del “Venditore” ad eccezione dei casi in cui è proprietaria in tutto o in parte di un lotto.

2.2 Normalmente i lotti offerti in vendita in asta sono beni di antiquariato. I beni sono venduti con ogni difetto,

imperfezione ed errore di descrizione. Le illustrazioni dei cataloghi sono effettuate al solo scopo di identificazione del lotto. Il funzionamento e la sicurezza dei beni di natura elettrica o meccanica non sono verificati prima della vendita e sono acquistati dall’“Acquirente” a suo rischio e pericolo.

L’“Acquirente” si impegna ad esaminare il lotto prima dell’acquisto per accertare se lo stesso sia conforme alle descrizioni del catalogo e, se del caso, a richiedere il parere di uno studioso o di un esperto indipendente, per accertarne la paternità, l’attribuzione, l’autenticità, la genuinità, la data, l’età, la provenienza o le condizioni del lotto.

2.3 Nel caso in cui dopo la vendita in asta un lotto risulti essere una “contraffazione”, “Sotheby’s” rimborserà all’“Acquirente”, previa restituzione del lotto, l’“ammontare totale dovuto” nella valuta in cui è stato pagato dall’“Acquirente”. L’obbligo di “Sotheby’s” è sottoposto alla condizione che, non più tardi di cinque (5) anni dalla data della vendita, l’“Acquirente”:

(i) comunichi a “Sotheby’s” per iscritto, entro tre (3) mesi dalla data in cui ha avuto una notizia che lo induca a ritenere che il lotto sia una “contraffazione”, il numero del lotto, la data dell’asta alla quale il lotto è stato acquistato e i motivi per i quali l’“Acquirente” ritenga che il lotto sia una “contraffazione”;

(ii)sia in grado di riconsegnare a “Sotheby’s” il lotto, libero da rivendicazioni o da ogni pretesa da parte di terzi sorta dopo la data della vendita e il lotto sia nelle stesse condizioni in cui si trovava alla data della vendita;

(iii) fornisca a “Sotheby’s” le relazioni di due studiosi o esperti indipendenti e di riconosciuta competenza, in cui siano spiegate le ragioni per cui il lotto sia ritenuto una “contraffazione”.

“Sotheby’s” si riserva il diritto di procedere alla risoluzione della vendita anche in assenza di una o più delle condizioni sopra richieste, in tutto o in parte.

“Sotheby’s” non sarà vincolata dai pareri forniti dall’“Acquirente” e si riserva il diritto di richiedere il parere addizionale di altri esperti a sue proprie spese. Nel caso in cui “Sotheby’s” decida di risolvere la vendita, “Sotheby’s” potrà, fermo restando che a ciò non è obbligata, rimborsare al compratore in misura ragionevole i costi da questo sostenuti per ottenere i pareri dei due esperti indipendenti e accettati sia da “Sotheby’s” che dall’“Acquirente”.

2.4 “Sotheby’s” non effettuerà il rimborso all’“Acquirente”, qualora:

(a) la descrizione nel catalogo fosse conforme all’opinione generalmente accettata di studiosi ed esperti alla data della vendita o indicasse come controversa l’autenticità o l’attribuzione del lotto; o

(b) alla data della pubblicazione del catalogo la contraffazione del lotto potesse essere accertata soltanto svolgendo analisi generalmente ritenute inadeguate allo scopo o difficilmente praticabili o il cui costo fosse irragionevole o che avrebbero ragionevolmente potuto danneggiare o altrimenti comportare una diminuzione di valore del lotto.

3 RESPONSABILITÀ DI “SOTHEBY’S” E DEL VENDITORE NEI CONFRONTI DEGLI ACQUIRENTI

3.1 Ogni rappresentazione scritta o verbale fornita da “Sotheby’s”, incluse quelle contenute nel catalogo, in relazioni, commenti o valutazioni concernenti qualsiasi carattere di un lotto, la sua qualità, ivi compreso il prezzo o il valore, riflettono esclusivamente opinioni e possono essere riesaminate ed, eventualmente, modificate prima che il lotto sia offerto in vendita.

3.2 Né “Sotheby’s”, né alcuna delle “società del gruppo Sotheby’s” ovvero i rispettivi dipendenti, collaboratori o amministratori sono responsabili degli errori o delle omissioni contenuti in queste rappresentazioni.

3.3 Fatto salvo quanto previsto nelle clausole 3.1 e 3.2 sopra riportate, l’eventuale responsabilità di “Sotheby’s” nei confronti dell’“Acquirente” in relazione all’acquisto di un lotto da parte di quest’ultimo è limitata al “prezzo” e alla “commissione d’acquisto” pagata dall’“Acquirente” a “Sotheby’s”.

Le limitazioni alla responsabilità di “Sotheby’s” si estendono alla responsabilità del “Venditore” nei confronti dell’“Acquirente”.

Salvo il caso di dolo o colpa grave, né ‘Sotheby’s’ né le ‘società del gruppo Sotheby’s’, i loro rispettivi amministratori e dipendenti saranno responsabili per atti od omissioni relativi alla preparazione o alla conduzione dell’asta o per qualsiasi questione relativa alla vendita dei lotti.

4 LA VENDITA ALL’ASTA

4.1 “Sotheby’s” ha il diritto di rifiutare, a sua completa discrezione, a chiunque di partecipare alle aste.

4.2 Il banditore conduce l’asta partendo dall’offerta che considera adeguata, in funzione del valore del lotto e delle offerte concorrenti. Il banditore può fare offerte consecutive o in risposta ad altre offerte nell’interesse del “Venditore”, fino al raggiungimento del prezzo di riserva.

4.3Chiunque faccia un’offerta ad un’asta sarà considerato parte direttamente interessata all’acquisto, salvo accordo scritto fra il partecipante all’asta e “Sotheby’s” in base al quale il partecipante dichiara di agire in nome e per conto di un terzo che sia da “Sotheby’s” accettato. In tal caso il partecipante all’asta sarà solidalmente obbligato con il terzo interessato nei confronti di “Sotheby’s” in relazione a tutti gli obblighi derivanti dalle presenti Condizioni di Vendita.

4.4 Le offerte scritte sono valide soltanto qualora pervengano a “Sotheby’s” con congruo anticipo rispetto alla data dell’asta e siano sufficientemente chiare e complete. Nel caso in cui “Sotheby’s” riceva più offerte scritte di pari importo per uno specifico lotto ed esse siano le più alte risultanti all’asta per quel lotto, quest’ultimo sarà aggiudicato al soggetto la cui offerta sia pervenuta per prima a “Sotheby’s”.

4.5 Le offerte telefoniche sono valide purché siano confermate per iscritto prima dell’asta. “Sotheby’s” si riserva il diritto di registrare le offerte telefoniche e non assume alcuna responsabilità, ad alcun titolo, nei confronti dell’”Acquirente” in relazione alle offerte formulate telefonicamente.

4.6 Qualora sia possibile effettuare, previa registrazione, la presentazione di offerte online ad un’asta di Sotheby’s tramite qualsiasi Piattaforma Online, si rinvia alle Condizioni ulteriori per la presentazione di offerte online tramite tramite qualsiasi Piattaforma Online pubblicate nel sito www.sothebys.com.

4.7 Nel caso in cui sia possibile presentare offerte scritte, telefoniche e online, tale servizio è da ritenersi un servizio aggiuntivo gratuito a rischio dell’“Acquirente”. Sotheby’s non assume alcuna responsabilità nel caso in cui, per motivi tecnici, non sia possibile presentare offerte in base ad una delle sopra indicate modalità. Le offerte telefoniche e quelle online potranno essere registrate. Le offerte online sono disciplinate dalle Condizioni ulteriori per la presentazione di offerte online tramite tramite qualsiasi Piattaforma Online disponibili sul sito di Sotheby’s www. Sothebys.com o su richiesta. Le Condizioni ulteriori per la presentazione di offerte online tramite si applicano in relazione alle offerte online in aggiunta alle presenti Condizioni di Vendita.

4.8 Il colpo di martello del banditore determina l’accettazione dell’offerta più alta ed il “prezzo” a cui il lotto viene aggiudicato dal banditore all’“Acquirente”. Il colpo di martello del banditore determina inoltre la conclusione del contratto di vendita tra il “Venditore” e l’“Acquirente”.

4.9 Il banditore può, a sua assoluta discrezione e in un momento qualsiasi dell’asta:

(i) ritirare un lotto dall’asta;

(ii) riformulare un’offerta di vendita per un lotto, qualora abbia motivi per ritenere che ci sia un errore o una disputa; e/o adottare qualsiasi provvedimento che ritenga adatto alle circostanze.

4.10 Durante alcune aste potrà essere operante uno schermo video, nell’interesse sia dell’“Acquirente”, sia del “Venditore”. “Sotheby’s” declina ogni responsabilità sia in relazione alla corrispondenza dell’immagine sullo schermo all’originale, sia per errori nel funzionamento dello schermo video.

4.11 “Sotheby’s” dichiara che il bene che costituisce il lotto può essere oggetto di dichiarazione di interesse culturale da parte del Ministero della Cultura ai sensi dell’art. 13 del D.Lgs. 22 gennaio 2004 n. 42. In tal caso o nel caso in cui in relazione ad esso sia stato avviato il procedimento di dichiarazione di interesse culturale ai sensi dell’art. 14 del D. Lgs. N. 42/04 “Sotheby’s” ne darà comunicazione prima della vendita. Nel caso in cui il lotto sia stato oggetto di dichiarazione di interesse culturale il “Venditore” provvederà a denunciare la vendita al Ministero competente secondo quanto previsto dall’art.59 del D. Lgs. N. 42/04.

La vendita sarà sospensivamente condizionata al mancato esercizio da parte del Ministero competente del diritto di prelazione nel termine di sessanta giorni dalla data di ricezione della denuncia, ovvero, nel termine maggiore di centottanta giorni di cui all’art. 61 comma 2 del D.Lgs. n. 42/2004. In pendenza del termine per l’esercizio della prelazione il lotto non potrà essere consegnato all’“Acquirente” in base a quanto stabilito dall’art. 61 del D.Lgs. n. 42/2004.

4.12 La ‘riserva’ non potrà mai superare la ‘stima minima pre- vendita’ annunciata o pubblicata da “Sotheby’s”, salvo nel caso in cui la ‘riserva’ sia espressa in una moneta diversa dall’Euro e vi siano sensibili fluttuazioni del tasso di cambio fra la data in cui è stata pattuita la “riserva” e la data dell’asta. In tal caso, salvo diverso accordo fra ‘Sotheby’s’ ed il “Mandante”, la “riserva” sarà modificata in un importo pari all’equivalente in Euro in base al tasso ufficiale di cambio del giorno immediatamente precedente quello dell’asta.

5 PAGAMENTO

5.1 Immediatamente dopo la conclusione dell’asta durante la quale è stato venduto il lotto, l’Acquirente pagherà a “Sotheby’s” l’“ammontare totale dovuto”.

5.2 Il trasferimento della proprietà del lotto dal “Venditore” all’“Acquirente” avverrà soltanto al momento del pagamento da parte dell’“Acquirente” dell’“ammontare totale dovuto”.

5.3 In caso di mancato o ritardato pagamento da parte dell’Acquirente, in tutto o in parte, dell’“ammontare totale dovuto”, “Sotheby’s” ha diritto, a propria scelta, di chiedere l’adempimento ovvero di risolvere il contratto di vendita a norma dell’art. 1454 c.c. intendendosi il termine per l’adempimento ivi previsto convenzionalmente pattuito in 30 giorni, salvo in ogni caso il diritto al risarcimento dei danni, nonché la facoltà di far vendere il lotto per conto ed a spese dell’Acquirente, a norma dell’art. 1515 c.c.

In caso di mancato o ritardato pagamento da parte dell’Acquirente, in tutto o in parte, dell’“ammontare totale dovuto”, “Sotheby’s” ha diritto di imputare qualsiasi pagamento fatto dall’“Acquirente” a “Sotheby’s” o ad altre “società del gruppo “Sotheby’s” al debito dell’“Acquirente” rappresentato dall’“ammontare totale dovuto” ovvero a qualsiasi altro debito dell’“Acquirente” nei confronti di “Sotheby’s” o di altre “società del gruppo Sotheby’s” derivante da altri rapporti contrattuali.

5.4 In caso di ritardo nel pagamento dell’“ammontare totale dovuto” per un periodo superiore a trenta (30) giorni lavorativi dalla data dell’asta “Sotheby’s” depositerà il lotto presso di sé o altrove a rischio e onere dell’“Acquirente”. Sempre in caso di ritardo nel pagamento per un periodo superiore a quello sopra indicato, l’“Acquirente” dovrà pagare a “Sotheby’s” interessi moratori pari a sette punti oltre al tasso legale, salvo il diritto di “Sotheby’s” al risarcimento del maggior danno.

5.5 In caso di mancato o ritardato pagamento da parte dell’Acquirente “Sotheby’s” potrà rifiutare qualsiasi offerta fatta dall’Acquirente o da un suo rappresentante nel corso di aste future o chiedere all’Acquirente di depositare una somma di denaro, a titolo di garanzia, prima di accettare offerte.

5.6 “Sotheby’s” , anche a nome e per conto di qualsiasi “società del gruppo Sotheby’s”, ha la facoltà di compensare ogni somma dovuta, a qualsiasi titolo, da sé o da qualsiasi “società del gruppo Sotheby’s” all’“Acquirente” con ogni somma dovuta da quest’ultimo, a qualsiasi titolo a “Sotheby’s” o a qualsiasi “società del gruppo Sotheby’s”.

6 CONSEGNA DEL LOTTO

6.1 La consegna del lotto all’“Acquirente” avviene a spese di quest’ultimo e dovrà avvenire non oltre trenta giorni lavorativi dal giorno della vendita. Il lotto sarà consegnato all’“Acquirente” soltanto dopo che

“Sotheby’s” avrà ricevuto l’“ammontare totale dovuto” a condizione che l’Acquirente fornisca a Sotheby’s valida documentazione attestante la sua identità.

6.2 Nel caso in cui l’“Acquirente” non ritiri un lotto acquistato entro trenta giorni lavorativi dalla data dell’asta, “Sotheby’s” depositerà il lotto presso di sé o altrove a rischio e onere dell’“Acquirente”. In tale caso, il lotto sarà consegnato all’“Acquirente” solo dopo che quest’ultimo abbia pagato a “Sotheby’s” tutte le spese di deposito, trasporto e qualsiasi altra spesa sostenuta.

7 TRASFERIMENTO DEL RISCHIO

7.1 Un lotto acquistato è interamente a rischio dell’“Acquirente” a partire dalla data più antecedente fra quelle in cui l’Acquirente:

(i) prende in consegna il lotto acquistato; o

(ii) paga “l’ammontare totale dovuto” per il lotto; ovvero

(iii) dalla data in cui decorre il termine di trentuno (31) giorni lavorativi dal giorno della vendita.

7.2 L’“Acquirente” sarà risarcito per qualsiasi perdita o danno del lotto che si verifichi dopo la vendita ma prima del trasferimento del rischio, ma il risarcimento non potrà superare il “prezzo” del lotto, oltre la “commissione d’acquisto” ricevuta dalla “Sotheby’s”. Salvo il caso di dolo o colpa grave, in nessun caso “Sotheby’s” si assume la responsabilità per la perdita delle o danni causati alle cornici o al vetro che contengono o coprono stampe, dipinti o altre opere a meno che la cornice o il vetro non costituiscano il lotto venduto all’asta.

In nessun caso ‘Sotheby’s’ sarà responsabile per la perdita o il danneggiamento verificatisi a seguito di un qualsiasi intervento (compresi interventi di restauro, interventi sulle cornici e interventi di pulitura) da parte di esperti indipendenti incaricati da Sotheby’s con il consenso del ‘Mandante’ o per la perdita o il danneggiamento causati o derivanti, direttamente o indirettamente, da:

(i) cambiamenti di umidità o temperatura;

(ii) normale usura o graduale deterioramento derivanti da interventi sul bene e/o da vizi o difetti occulti (inclusi i tarli del legno);

(iii) errori di trattamento;

(iv) guerra, fissione nucleare, contaminazione radioattiva, armi chimiche, biochimiche o elettromagnetiche;

(v) atti di terrorismo (come definiti dagli assicuratori di Sotheby’s).

7.3 L’imballaggio e la spedizione del lotto all’“Acquirente” sono interamente a suo rischio e carico e in nessuna circostanza “Sotheby’s” si assume la responsabilità per azioni od omissioni degli addetti all’imballaggio o dei trasportatori.

8 GARANZIE DELL’OFFERENTE/ ACQUIRENTE

(a) L’offerente e/o l’Acquirente garantisce che:

(i) fornirà a Sotheby’s, su richiesta, una verifica sull’identità ed ogni informazione aggiuntiva prescritta per adempiere agli obblighi Know Your Client (“KYC”) di Sotheby’s e/o da ogni norma applicabile, in mancanza delle quali Sotheby’s potrà o non perfezionare o cancellare la vendita di qualsiasi lotto, a seconda dei casi;

(ii) non è sottoposto a sanzioni commerciali, embarghi o ad ogni altra restrizione agli scambi in base (A) alla giurisdizione in cui opera e (B) che sia amministrata ed eseguita dagli Stati Uniti, l’Unione Europea, il Regno Unito, il Consiglio di Sicurezza delle Nazioni Unite o ogni altra autorità legittimata ad irrogare sanzioni e che non è posseduto (o in parte posseduto) o controllato da soggetti sanzionati (collettivamente, “Soggetto/i Sanzionato/i”); e

(iii) i fondi utilizzati per l’acquisto e il pagamento dei lotti non sono connessi, né hanno alcun collegamento, né sono derivati da qualsiasi forma di attività illecita, compresa, a titolo esemplificativo e non esaustivo, l’evasione fiscale, il riciclaggio di denaro, attività terroristiche o altre attività criminali , ed inoltre che l’offerente/ Acquirente non è sotto inchiesta, né è stato accusato o condannato, a titolo esemplificativo e non esaustivo, per evasione fiscale, riciclaggio di denaro, attività terroristiche o altre attività criminali.

(b) Quando l’offerente propone un’offerta per conto di un’altra persona o opera in qualità di incaricato (in entrambi i casi, ai fini della presente clausola 8 (b) “Mandatario”) di un’altra parte (il/i Mandante/i), l’offerente o l’acquirente saranno, rispettivamente, il Mandante ed il Mandatario, considerati congiuntamente e solidalmente, a meno che non sia diversamente ed espressamente indicato ed il Mandatario garantisce a titolo personale (in aggiunta alle garanzie di cui alla clausola 8 (a)) che:

(i) il/i Mandante(i) non è un Soggetto(i) Sanzionato, né posseduto (o in parte posseduto) o controllato da Soggetti Sanzionati;

(ii) i fondi utilizzati per l’acquisto ed il pagamento dei lotti non sono collegati, né hanno alcun legame con alcuna forma di attività criminale, inclusi a titolo esemplificativo ma non esaustivo l’evasione fiscale, il riciclaggio di denaro, attività terroristiche o altre attività criminali e che, comunque, gli accordi fra il Mandatario ed il Mandante relativi al/ai lotto/i non facilitano, in tutto o in parte, la commissione di reati fiscali;

(iii) i lotti acquistati dal Mandatario o dal Mandante(i) non vengano acquistati allo scopo di, o utilizzati in qualsiasi modo connesso con, o per facilitare la violazione di qualsiasi legge o regolamento applicabile in materia fiscale, di antiriciclaggio o di antiterrorismo;

(iv) il Mandatario ha compiuto un’adeguata due diligence sul/i Mandante/i in relazione all’acquisto del/i lotto/i in conformità alle leggi ed ai regolamenti applicabili in materia di anti-riciclaggio e di sanzioni e non è a conoscenza, né ha motivo di sospettare che i fondi utilizzati per il pagamento siano derivati da o connessi con i proventi di qualsiasi attività criminale compresa, a titolo esemplificativo e non esaustivo, l’evasione fiscale o che l’acquirente o gli acquirenti finali siano sotto inchiesta, o siano stati accusati o condannati per riciclaggio di denaro, attività terroristiche o altre attività criminali.

(v) il Mandatario rivelerà l’identità del Mandante a Sotheby’s e fornirà a Sotheby’s, a richiesta di quest’ultima, verifiche dell’identità e qualsiasi altra informazione aggiuntiva richiesta per adempiere agli obblighi KYC di Sotheby’s e/o alla legge applicabile al Mandatario e al Mandante e/o per dimostrare la sussistenza del potere del Mandatario di formulare un’offerta per conto del Mandante e di vincolarlo all’offerta. Se il Mandatario non soddisfa gli obblighi KYC di Sotheby’s, Sotheby’s avrà diritto sia di non completare sia di risolvere la vendita del lotto, a seconda del caso.

(c) l'offerente e/ l'Acquirente si impegna e garantisce che nessun fondo utilizzato pe’ l'acquisto e il pagamento venga finanziato da un Soggetto Sanzionato, e che nessuna altra parte coinvolta nell’ operazione, compresi istituti finanziari, spedizionieri, trasportatori o qualsiasi altro soggetto, sia un Soggetto Sanzionato, o posseduto, o controllato da un Soggetto Sanzionato, a meno che tale attività non sia autorizzata per iscritto d’ll'autorità governativa che abbia giurisdizione sull’operazione o dalla legge o dalla regolamentazione applicabile.

(d) Sotheby’s si riserva il diritto di identificare la fonte dei fondi ricevuti, e di svolgere accertamenti su qualsiasi persona, fisica e/o giuridica, che compia transazioni con Sotheby’s. Qualora Sotheby’s non avesse ultimato, a propria integrale soddisfazione, secondo il proprio giudizio, le ricerche in relazione agli adempimenti antiriciclaggio, contro il finanziamento del terrorismo, e/o qualsiasi altro controllo ritenuto opportuno sull’offerente e/o sull’Acquirente o il Venditore, Sotheby’s avrà diritto di non completare o di risolvere la vendita di qualsiasi lotto, a seconda di quanto ritenuto opportuno, e di adottare ogni ulteriore azione richiesta o consentita dalla legge applicabile, senza alcuna responsabilità nei confronti dell’Offerente e/o dell’Acquirente.

9 ESPORTAZIONE DAL TERRITORIO DELLA REPUBBLICA ITALIANA

9.1 L’esportazione dal territorio della Repubblica italiana di un lotto o la sua importazione in uno Stato straniero possono essere soggetti alla concessione di uno o più attestati di libera circolazione o licenze. Il rilascio dei relativi attestati di libera circolazione e/o licenze di importazione è a carico dell’Acquirente. Il mancato rilascio o il ritardo nel rilascio di un attestato di libera circolazione o una qualsiasi licenza non costituisce una causa di risoluzione o di annullamento della vendita, né giustifica il ritardato pagamento da parte dell’Acquirente dell’“ammontare totale dovuto”.

10 LEGGE APPLICABILE E GIURISDIZIONE

10.1 Le presenti Condizioni di Vendita sono regolate dalla legge italiana. Nell’interesse di Sotheby’s, l’Acquirente accetta che ogni e qualsiasi controversia che dovesse sorgere in relazione all’applicazione, interpretazione ed esecuzione delle presenti Condizioni sia devoluta alla competenza esclusiva del Foro di Milano. L’Acquirente accetta, altresì, che, in relazione alle medesime controversie, Sotheby’s abbia il diritto di convenirlo in giudizio davanti a qualsiasi organo giurisdizionale, oltre quello di Milano, che sia competente in base alla normativa applicabile.

11 TUTELA DATI PERSONALI

Sotheby’s conserverà e tratterà i Suoi dati personali e potrà condividerli con un’altra società del Gruppo Sotheby’s per l’uso descritto e in linea con la Privacy Policy di Sotheby’s pubblicata sul sito web di Sotheby’s all’indirizzo www.sothebys.com o disponibile su richiesta via e-mail a enquiries@sothebys.com.

CONDIZIONI SOSTITUTIVE 2.3 E 2.4 PER I LIBRI

2.3 Nel caso in cui dopo la vendita in asta un lotto risulti essere una ‘contraffazione’, ovvero sia sostanzialmente difettoso nel testo o nelle illustrazioni, ‘Sotheby’s’ rimborserà all’‘Acquirente’, previa restituzione del lotto, l’‘ammontare totale dovuto’ nella valuta in cui è stato pagato dall’‘Acquirente’. L’obbligo di ‘Sotheby’s’ è sottoposto alla condizione che, non più tardi di 21 (ventuno) giorni dalla data della vendita, l’‘Acquirente’:

(i) comunichi a ‘Sotheby’s’ per iscritto il numero del lotto, la data dell’asta alla quale il lotto è stato acquistato e i motivi per i quali l’‘Acquirente’ ritenga che il lotto sia una “contraffazione” ovvero sia sostanzialmente difettoso nel testo o nelle illustrazioni; e

(ii) sia in grado di riconsegnare a ‘Sotheby’s’ il lotto, libero da rivendicazioni o da ogni pretesa da parte di terzi sorta dopo la data della vendita e il lotto sia nelle stesse condizioni in cui si trovava alla data della vendita.

2.4 “Sotheby’s” non effettuerà il rimborso all’“Acquirente”, qualora

(a) la descrizione nel catalogo fosse conforme al parere generalmente accettato di studiosi ed esperti alla data della vendita o indicasse come controversa l’autenticità o l’attribuzione del lotto; o

(c) il lotto comprenda un atlante, un libro extra-illustrato, un volume con tagli illustrati, una pubblicazione periodica, una stampa o un disegno, ovvero

(d) nel caso di un manoscritto, il lotto non sia descritto nel catalogo come completo, ovvero

(e) il difetto sia indicato nel catalogo, ovvero

(f) il difetto non riguardi il testo o le illustrazioni. A mero titolo di esempio, non potrà essere restituito un lotto che presenti danni alla rilegatura, macchie, bruniture, tarlature ai margini, mancanza di fogli bianchi o altre condizioni che non pregiudichino la completezza del testo o delle illustrazioni, mancanza di un elenco delle tavole, di inserzioni dal compratore e si riserva il diritto di richiedere il parere addizionale di altri esperti a sue proprie spese. Nel caso in cui “Sotheby’s” decida di risolvere la vendita, “Sotheby’s” potrà, fermo restando che a ciò non è obbligata, rimborsare al compratore in misura ragionevole i costi da questo sostenuti per ottenere i pareri dei due esperti indipendenti e accettati sia da “Sotheby’s” che dal comprator.

(g) il bene sia stato venduto non descritto nel lotto. “Sotheby’s” si riserva il diritto di procedere alla risoluzione della vendita anche in assenza di una o più delle condizioni sopra richieste. “Sotheby’s” si riserva il diritto, fermo restando che non è a ciò obbligata, di richiedere all’”Acquirente” di ottenere, a spese dell’”Acquirente”, i pareri di due esperti indipendenti e di riconosciuta competenza in materia, accettati sia da “Sotheby’s” sia dal compratore. “Sotheby’s” non sarà vincolata dai pareri forniti dal compratore e si riserva il diritto di richiedere il parere addizionale di altri esperti a sue proprie spese. Nel caso in cui “Sotheby’s” decida di risolvere la vendita, “Sotheby’s” potrà, fermo restando che a ciò non è obbligata, rimborsare al compratore in misura ragionevole i costi da questo sostenuti per ottenere i pareri dei due esperti indipendenti e accettati sia da “Sotheby’s” che dal compratore.

“Sotheby’s” si riserva il diritto di procedere alla risoluzione della vendita anche in assenza di una o più delle condizioni sopra richieste.

“Sotheby’s” si riserva il diritto, fermo restando che non è a ciò obbligata, di richiedere all’”Acquirente” di ottenere, a spese dell’”Acquirente”, i pareri di due esperti indipendenti e di riconosciuta competenza in materia, accettati sia da “Sotheby’s” sia dal compratore. “Sotheby’s” non sarà vincolata dai pareri forniti dal compratore e si riserva il diritto di richiedere il parere addizionale di altri esperti a sue proprie spese.

Nel caso in cui “Sotheby’s” decida di risolvere la vendita, “Sotheby’s”

potrà, fermo restando che a ciò non è obbligata, rimborsare al compratore in misura ragionevole i costi da questo sostenuti per ottenere i pareri dei due esperti indipendenti e accettati sia da “Sotheby’s” che dal compratore.

CONDITIONS OF BUSINESS

This English version is provided for translation purposes only. In the case of any dispute between the Italian text and this English translation, the Italian text shall prevail.

1. DEFINITIONS

(a) “Buyer” is the natural or legal person who, in an auction, makes the highest bid accepted by the auctioneer;

(b) “Buyer’s Premium” is the sum payable to “Sotheby’s” by a Buyer, calculated as a percentage of the “price” according to the tariffs published in the auctions catalogue;

(c) “Expenses” in relation to the purchase of a lot are all expenses payable to “Sotheby’s” by the “Buyer” and include (but are not restricted

to) taxes of all types, the costs of packaging or freight, the costs of recovering sums due from a defaulting “Buyer”, the Artist’s Resale Right, which the “Buyer” undertakes to pay;

(d) “Overhead Premium” is the allocation of Sotheby’s overhead costs relating to Sotheby’s facilities, property handling and other administrative expenses that is payable by the Buyer on the Hammer Price at the rates set out in the guide to Buying at Auction for the sale and an amount in respect of applicable VAT;

(e) “Price” is the price at which the lot is sold to the “Buyer” in the auction by the auctioneer or, in the case of a private sale, the price agreed between “Sotheby’s” and the “Buyer” net of the “Buyer’s Premium” and “Overhead Premium”;

(f) “Seller” is the natural or legal person who owns the lot offered for sale by auction or by private sale by “Sotheby’s” in their capacity as agent with representation;

(g) “Reserve” is the minimum price (confidential) at which the Seller has agreed with Sotheby’s to sell the lot;

(h) “Sotheby’s” is “Sotheby’s” Italia S.r.l. with head offices in Palazzo Serbelloni, Corso Venezia 16, 20121, Milan;

(i) “Sotheby’s group company” is any company controlled by or controlling “Sotheby’s” pursuant to Art. 2359, Paragraphs I, (1) and (2) Civil Code and Art. 93 of Legislative Decree No. 58 of 24 February 1998, any company controlled by a company controlling “Sotheby’s” and also Sotheby’s Diamonds S.A. and its subsidiaries.

(j) “Total amount due” is the price of a lot sold by auction, plus the “Buyer’s Premium”, “Overhead Premium” and “Expenses”;

(l) “Counterfeit” of a lot offered for sale by auction is a lot, which in “Sotheby’s” reasonable opinion is an imitation which is not described as such in the catalogue, created with a view to deception regarding the provenance, origin, date, age, period, culture or source and which at the date of the sale had a value less than that which it would have had if the item had corresponded to the description in the catalogue. A lot which has been restored or subjected to modification of any nature (including repainting or over-painting) does not constitute a Counterfeit;

(m) Personal data definition missing.

2. “SOTHEBY’S” OBLIGATIONS TO THE “BUYER”

2.1 “Sotheby’s” act in the capacity of agent with representation, for the “Seller” with the exception of cases where they are in full or part ownership of a lot.

2.2 Normally lots offered for sale by auction are antiques. Goods are sold with all their defects, imperfections and errors in description. The illustrations in the catalogues have the sole aim of identification of the lot. The function and safety of electrical or mechanical goods are not checked prior to sale and they are bought by the “Buyer” at his own risk and peril.

The “Buyer” undertakes to examine the lot before purchase to ascertain that it conforms to the descriptions in the catalogue and should the matter arise, to request the opinion of an independent scholar or expert to ascertain the lot’s origin, attribution, authenticity, genuineness, date, age, provenance or condition.

2.3 In a case where after the sale by auction a lot proves to be a “Counterfeit”, “Sotheby’s” shall refund to the “Buyer”, on return of the lot beforehand, the “total amount due” in the currency paid by the “Buyer”. “Sotheby’s” obligation is subject to the condition that, no later than five (5) years from the date of sale, the “Buyer”

(i) notifies “Sotheby’s” in writing, within three (3) months from the date on which he had information causing him to consider that the lot was a “Counterfeit”, of the lot number, the date of the auction at which the lot was bought and the grounds for the “Buyer’s” reasons for considering the lot to be a “Counterfeit”.

(ii) is able to return the lot to “Sotheby’s”, free from any third party claims arising after the date of the sale and the lot is in same condition as at the date of the sale;

(iii) supplies to “Sotheby’s” reports from two independent scholars or experts of recognised competence containing an explanation of the reasons for considering the lot to be a “Counterfeit”.

“Sotheby’s” reserves the right to proceed with cancellation of the sale in the absence of one or more of the requisite conditions above.

“Sotheby’s” shall not be bound by the opinions provided by the buyer and reserves the right to request an additional opinion from other experts at their own expense. In the event of “Sotheby’s” deciding to rescind the sale, “Sotheby’s” may, without being bound to do so, refund to the buyer, at a reasonable level, the costs sustained by him in obtaining the opinion of the two independent experts acceptable to both “Sotheby’s” and the buyer.

2.4 “Sotheby’s” shall not refund the “Buyer” if:

(a) the catalogue description was in accordance with the generally accepted opinion of scholars and experts at the date of the sale or indicated how the authenticity or attribution of the lot could be in dispute; or

(b) on the date of publication of the catalogue the Counterfeit nature of the lot could have been ascertained only by conducting analyses generally considered to be inadequate in scope or difficult to perform or whose cost was unreasonable or which might feasibly have been able to damage or otherwise lower the value of the lot.

3. “SOTHEBY’S” AND THE SELLER’S LIABILITY TO BUYERS

3.1 All of “Sotheby’s” written or verbal representations including those contained in the catalogue, in reports, comments or evaluations concerning any characteristics of a lot, its quality, including the price or value, exclusively reflect opinions and can be re- examined and possibly altered before the lot is offered for sale.

3.2 Neither “Sotheby’s” nor any of the “Sotheby’s group companies” or their respective employees, workers or directors shall be liable for errors or omissions contained in these representations.

3.3 Save as specified in Clauses 3.1 and 3.2 above, any liability on the part of “Sotheby’s” to the “Buyer” in relation to his purchase of a lot shall be limited to the “Price” and the “Buyer’s Premium” paid by the “Buyer” to “Sotheby’s”.

The limits of “Sotheby’s” liability are extended to the liability of the Seller to the Buyer.

Save in a case of fraud or serious misconduct, neither “Sotheby’s” nor any of the “Sotheby’s group

companies”, their respective directors and staff shall be liable for acts or omissions in relation to the preparation or conduct of the auction or for any question relating to the sale of lots.

4 SALE AT AUCTION

4.1 “Sotheby’s” has the right to refuse, at its full discretion, anyone from participating in auctions.

4.2 The auctioneer shall conduct the auction starting with a bid that he considers adequate in respect of the value of the lot and the competing bids. The auctioneer can put bids consecutively or in response to other bids in the interest of the “Seller” until the reserve price is met.

4.3 Anyone who makes a bid at an auction shall be considered a directly interested party to the purchase, save by written agreement between the participant in the auction and “Sotheby’s” on the basis of which the participant shall declare that he is acting for and on behalf of a third party accepted by “Sotheby’s”. In this event the participant in the auction shall be jointly and severally liable with the third party to “Sotheby’s” in relation to all obligations arising from these General Conditions.

4.4 Bids in writing shall only be valid if they reach “Sotheby’s” an adequate time in advance of the date of the auction and are sufficiently clear and complete. In a case where “Sotheby’s” receives more than one identical written bid for a specific lot and where they are the highest in the auction for the said lot, the lot shall be sold to the person whose bid was the first to arrive at “Sotheby’s”.

4.5 Telephone bids are valid provided that they are confirmed in writing before the auction. “Sotheby’s” reserves the right to register telephone bids and accepts no liability of any sort to the “Buyer” in relation to bids placed by telephone.

4.6 In respect of online bidding via an Online Platform, please refer to the Additional Terms and Conditions for Online Bidding published below and available on the web site www. sothebys.com.

4.7 Where available, written, telephone and online bids are offered as an additional service for no extra charge at the Bidder’s risk .”Sotheby’s” therefore cannot accept liability for failure to place such bids except where such failure is due to technical reasons.

Telephone bids and online bids may be recorded. Online bids are made subject to the Additional Terms and Conditions for Online Bidding published below and available on the web site www. sothebys.com.. The Additional Terms and Conditions for Online Bidding apply in relation to online bids in addition to these Conditions of Business.

4.8 The fall of the auctioneer’s hammer shall determine the acceptance of the highest bid and the “price” at which the lot shall be sold by the auctioneer to the “Buyer”. The fall of the auctioneer’s hammer shall furthermore determine the conclusion of a contract of sale between the “Seller” and the “Buyer”.

4.9 The auctioneer can, with full discretion and at any time during the auction:

(i) withdraw a lot from the auction;

(ii) rephrase an offer of sale for a lot should he consider that there is an error or dispute; and/ or

(iii) adopt any measure which he considers suitable under the circumstances.

4.10 During some auctions a video screen may be used in the interests of both “Buyer” and the “Seller”. “Sotheby’s” reject any liability for the conformity of the image on the screen with the original or for any functional errors of the video screen.

4.11 “Sotheby’s” state that an item which constitutes a lot may be subject to a declaration of cultural interest by the Ministry of Cultural Assets and Activities, pursuant to Art. 13 of Legislative Decree No. 42 of 22 January 2004. In such a case or in the event where in relation to such, the procedure for a declaration of cultural interest is initiated, pursuant to Art. 14 of Legislative Decree No. 42/04, “Sotheby’s” shall give notice thereof before the sale. In the event where the lot is subject to a declaration of cultural interest the “Seller” shall arrange to report the sale to the Ministry concerned under the provisions of Art. 59 of Legislative Decree No. 42/04. The sale shall be conditional on the said Ministry not exercising the right of pre-emption within a period of sixty days from the date on which the report was received, or within

a period greater than one hundred and eighty days pursuant to Art. 61 Paragraph II of Legislative Decree No. 42/04. During the period for exercising the right of pre-emption the lot may not be delivered to the “Buyer”, in compliance with the provision of Art. 61 of Legislative Decree No. 42/04.

4.12 The “reserve” may not exceed the ‘low presale estimate’ announced or published by “Sotheby’s”, except when the “reserve” is expressed in a currency other than the Euro and there are perceptible fluctuations in the rate of exchange between the date on which the reserve was agreed and the date of the auction. In such a case, unless otherwise agreed between “Sotheby’s” and the “Seller”, the “reserve” shall be altered to the equivalent sum in Euro at the official rate of exchange for the day immediately preceding that of the auction.

5 PAYMENT

5.1 Immediately after the conclusion of the auction during which the lot is sold, the Buyer shall pay “Sotheby’s” the “total amount due”.

5.2 Transfer of ownership of the lot from the “Seller” to the “Buyer” shall take place solely at the time of payment by the “Buyer” of the “total amount due”.

5.3 In the event of non- or delayed payment by the Buyer, in full or in part, of the “total amount due”, “Sotheby’s” shall have the right, at their discretion, to request completion or to cancel the contract of sale under Art. 1454 Civil Code, with the understanding that the period for completion therein prescribed is conventionally agreed at 5 days, in all cases without prejudice to the right of compensation for damages and also to the power to have the lot sold on behalf, and at the expense, of the “Buyer” pursuant to Art. 1515 Civil Code.

5.4 In the event of non- or delayed payment by the Buyer, in full or in part, of the “total amount due”, “Sotheby’s” shall have the right to debit any payment made by the “Buyer” to “Sotheby’s” or to other “companies of the Sotheby’s group” as the “Buyer’s” debt, represented by the “total amount due”, or any other sum owed by the “Buyer” to “Sotheby’s” or to other “companies of the Sotheby’s group” arising from other contractual relationships.

In the event of delay in payment of the “total amount due” for a period of more than thirty (30) working days from the date of the auction “Sotheby’s” shall warehouse the lot on their premises or elsewhere at the risk and expense of the “Buyer”. Again in the event of delay in payment for a period greater than that indicated, the “Buyer” must pay “Sotheby’s” interest on overdue payment equivalent to seven points over the legal rate, without prejudice to “Sotheby’s” right to compensation for a greater loss.

5.5 In the event of non- or delayed payment by the “Buyer”, “Sotheby’s” may reject any bid made by the Buyer or his representative in the course of any future auctions or ask the Buyer to deposit a sum of money as security before accepting the bid.

5.6 “Sotheby’s”, for and on behalf of any “Sotheby’s group company”, has the power to offset any sum due from themselves or from any “Sotheby’s group company”, under any heading, to the “Buyer” against any sum due from the Buyer, under any heading, to “Sotheby’s” or to any “Sotheby’s group company”.

6 DELIVERY OF THE LOT

6.1 The delivery of a lot to the “Buyer” shall be effected at his expense not more than thirty working days after the day of the sale. The lot shall be delivered to the “Buyer” only after “Sotheby’s” has received the “total amount due” and on condition that the Buyer provides Sotheby’s with valid documentation certifying his identity.

6.2 Should the “Buyer” not collect a lot bought, within thirty working days from the date of the auction, “Sotheby’s” shall warehouse the lot on their premises or elsewhere at the risk and expense of the “Buyer”. In this event the lot shall be delivered to the “Buyer” only after he has paid “Sotheby’s” all warehousing and carriage costs and any other cost sustained.

7 TRANSFER OF RISK

7.1 A lot purchased shall be entirely at the “Buyer’s” risk with effect from the earliest date of those on which the Buyer:

(i) takes delivery of the lot purchased; or

(ii) pays the “total amount due” for the lot; or

(iii) from the date on which the thirty one (31) working day period from the date of sale commences.

7.2 The “Buyer” shall be compensated for any loss or damage to the lot which is discovered after sale but before the risk passes, but the compensation may not exceed the “price” of the lot, over the “Buyer’s Premium received by “Sotheby’s”. Except in a case of fraud or serious misconduct, under

no circumstances shall “Sotheby’s” be liable for loss or damage caused to frames or glass which contain or cover prints, pictures or other works unless the frame or glass constitutes the lot sold in the auction.

Under no circumstances shall “Sotheby’s” be liable for any loss or damage which occurs as a result of any process performed (including restoration, work on the frames and cleaning tasks) by independent

experts employed by Sotheby’s with the “Seller’s” consent or for loss or damage caused or arising, directly or indirectly, from:

(i) changes of humidity or temperature;

(ii) normal wear or gradual deterioration arising from processes performed on the item and/ or hidden faults or defects (including woodworm);

(iii) errors in processing;

(iv) war, nuclear fission, radioactive contamination, chemical, biochemical or electromagnetic weapons;

(v) acts of terrorism (as defined by “Sotheby’s” insurers.)

7.3 The packing and despatch of the lot to the “Buyer” shall be entirely

at his risk and expense and under no circumstance shall “Sotheby’s” be liable for acts or omissions of the packers or carriers.

8 BIDDER’S/BUYER’S WARRANTIES

(a) The Bidder and/or Buyer warrants that:

(i) the Bidder and/or Buyer will provide to Sotheby’s, upon request, verification of identity and any additional information required to comply with Sotheby’s Know Your Client (“KYC”) requirements and/or the applicable law, failing which Sotheby’s shall be entitled either not to complete or to cancel the sale of any Lot, as appropriate;

(ii) the Bidder and/or Buyer is not subject to trade sanctions, embargoes or any other restriction on trade (A) in the jurisdiction in which it does business, and (B) that are administered and enforced by the United States, European Union, United Kingdom, United Nations Security Council or other relevant sanctions authority, and is not owned (nor partly owned) or controlled by such sanctioned person(s) (collectively, “Sanctioned Person(s)”); and

(iii) the funds used for purchase and settlement of the lot(s) are not connected with nor have any link to nor are derived from any criminal activity, including without limitation tax evasion, money laundering, terrorist activities or other criminal activity, and the Bidder/Buyer is neither under investigation, nor has been charged with or convicted of without limitation, tax evasion, money laundering, terrorist activities or other criminal activity.

(b) Where the Bidder is bidding on behalf of another person or acting as agent (in either case, the “Agent”) for another party (the “Principal(s)”), the “Bidder” or “Buyer” shall refer to Principal and Agent jointly and severally unless otherwise expressly indicated and the Agent warrants in its own capacity (in addition to the warranties set out in Condition 7(a) which are given jointly and severally by the Agent and the Principal(s)) that:

(i) the Principal(s) is not a Sanctioned Person(s) nor owned (or partly owned) or controlled by Sanctioned Person(s);

(ii) the funds used for purchase and settlement of the lot(s) are not connected with, nor have any link to any criminal activity, including without limitation tax evasion, money laundering, terrorist activities or other criminal activity and that the arrangements between the Agent and the Principal(s) of the lot(s) or otherwise do not, in whole or in part facilitate tax crimes;

(iii) the lot(s) purchased by the Agent or the Principal(s) is not being purchased for the purposes of, or being used in any way connected with, or to facilitate breaches of any applicable tax, anti-money laundering or anti-terrorism laws or regulations;

(iv) the Agent has conducted appropriate customer due diligence on the Principal(s) of the lot(s) in accordance with all applicable anti-money laundering and sanctions laws and regulations and the Agent does not know and has no reason to suspect that the funds used for settlement are derived from or connected with proceeds of any criminal activity including without limitation tax evasion, or that the ultimate buyer(s) is under investigation, or has been charged with or convicted of money laundering, terrorist activities or other criminal activity;

(v) the Agent will disclose to Sotheby’s the identity of the Principal and will provide to Sotheby’s, upon request, verification of identity and any additional information required to comply with Sotheby’s KYC requirements and/or the applicable law with respect to the Agent and the Principal and/or to evidence the Agent’s authority to bid on behalf of the Principal and to bind the Principal. If the Agent fails to satisfy Sotheby’s KYC requirements, Sotheby’s shall be entitled either not to complete or to cancel the sale of any Lot, as appropriate. .

(c) The Bidder and/or Buyer hereby undertakes and warrants that none of the funds used for purchase and settlement will be funded by any Sanctioned Person(s), nor will any party involved in the transaction including financial institutions, freight forwarders or other forwarding agents or any other party be a Sanctioned Person(s) nor owned (or partly owned) or controlled by a Sanctioned Person(s), unless such activity is authorized in writing by the government authority having jurisdiction over the transaction or in applicable law or regulation.

(d) Sotheby’s reserves the right to seek identification of the source of funds received, and to make enquiries about any person transacting with Sotheby’s. If Sotheby’s has not completed its enquiries in respect of anti-money laundering, anti-terrorist financing or other checks as it considers appropriate concerning the Bidder and/or Buyer or the Seller to Sotheby’s satisfaction at its discretion, Sotheby’s shall be entitled either not to complete or to cancel the sale of any lot, as appropriate, and to take any further action required or permitted under applicable law without any liability to the Bidder and/or Buyer.

9 EXPORT FROM THE TERRITORY OF THE ITALIAN REPUBLIC

9.1 The export of a lot from Italian territory or its import into a foreign State may be subject to the granting of one or more free movement certificates or licences. Issuing the said free movement certificates and/ or import licences shall be the Buyer’s responsibility. Non- or delayed issuing of any licence shall not give rise to cancellation or annulment of the sale, nor shall it justify delayed payment by the “Buyer” of the “total amount due”.

10 APPLICABLE LAW AND JURISDIC- TION

10.1 These Conditions of Business are governed by Italian law. In the interests of Sotheby’s, the Buyer accepts that each and every dispute which might arise in relation to the application, interpretation and execution of these Conditions shall devolve upon the exclusive competence of the Court of Milan. The Buyer accepts moreover that in relation to the said disputes, Sotheby’s has the right to bring proceedings in any court, besides that of Milan, which is competent under the applicable regulations.

11 PERSONAL DATA PROTECTION

Sotheby’s will hold and process your personal information and may share it with another Sotheby’s Group company for use as described in, and in line with, Sotheby’s Privacy Policy published on Sotheby’s website at www.sothebys.com or available on request by email to enquiries@ sothebys.com.

SUBSTITUTE CONDITIONS 2.3 AND 2.4 FOR BOOKS

2.3 In a case where, after a sale at auction a lot proves to be “Counterfeit”, or is substantially defective in respect of text or illustrations, “Sotheby’s” shall refund to the “Buyer”, on prior return of the lot, the “total amount due” in the currency in which the “Buyer” paid. “Sotheby’s” obligation is subject to the condition that, not later than 21 (twenty one) days after the date of sale, the “Buyer”:

(a) notifies “Sotheby’s” in writing of the lot number, the date of the auction at which the lot was bought and the reasons for which the “Buyer” maintains that the lot is “Counterfeit” or substantially defective in respect of text or illustrations

(b) is able to return the lot to “Sotheby’s” free from any third party claims arising after the date of the sale and the lot is in the same condition as at the date of the sale.

2.4 “Sotheby’s” shall not refund the “Buyer” if:

illustrated edges, a periodical, a print or a drawing, or

(d) in the case of a manuscript, the lot is not described in the catalogue as complete, or

(e) the defect was mentioned in the catalogue, or

(f)the defect does not concern the text or the illustrations. Purely by way of example, a lot cannot be returned which presents damage to the binding, stains, browning, marginal wormholes, lack of blank

leaves or other conditions which might prejudice the completeness of the text or illustrations, lack of a list of tables, publicity inserts, cancellations or any volume published subsequently, supplement, appendix or tables or an error in the list of tables, or

(g) the item was sold and not described in the lot.

“Sotheby’s” reserves the right to proceed with the cancellation of the sale in the absence of one or more of the requisite conditions above.

In the event of “Sotheby’s” deciding to rescind the sale, “Sotheby’s” may, without being bound to do so, to refund to the “Buyer”, at a reasonable level, the costs sustained by him in obtaining the opinion of the two independent experts acceptable to both “Sotheby’s” and the buyer.

2.3 If gemstones or pearls are sold which subsequently prove not to be genuine or of natural origin, “Sotheby’s” will refund to the “Buyer”, following return of the lot, the “total amount due” in the currency in which it was paid by the “Buyer”. “Sotheby’s” obligation is subject to the condition that, not later than 21 (twenty one) days after the date of sale, the “Buyer”:

Additional Terms and Conditions for Online Bidding

The following terms and conditions (the “Online Terms”) provide important information related to online bidding on sothebys.com or via the Sotheby’s App (each, an “Online Platform” and together, the “Online Platforms”).

These Online Terms are in addition to and subject to the same law which governs our standard Conditions of Business for Sellers, Conditions of Business for Buyers, the authenticity guarantee and any other terms that are applicable to the relevant sale (together “Conditions of Business”), and are not intended in any way to replace them. By participating in this sale via any Online Platform, you acknowledge that you are bound by the Conditions of Business applicable in the relevant sale and by these Online Terms.

Advanced Bidding

1. In the case of certain auctions, bidders can bid in advance of the live auction through an Online Platform (“Advance Bids”). In order to do so, you must register an account with Sotheby’s and provide requested information. You may bid at or above the starting bid displayed on the relevant Online Platform. Please note that Sotheby’s reserves the right to amend the starting bid prior to the start of the live auction.

You may also input a maximum bid which, upon confirmation, will be executed automatically up to this predefined maximum value, in response to other bids, including bids placed by Sotheby’s on behalf of the seller, up to the amount of the reserve (if applicable). Please note that reserves may be set at any time before the start of the live auction and your maximum bid may be executed against the reserve once such reserve is set. Bids placed by Sotheby’s on behalf of the seller, up to the amount of the reserve, will be counted towards the total bid count displayed on the Online Platform.

The current leading bid will be visible to all bidders; the value and status of your maximum bid will be visible only to you unless it is the leading bid. If the status of your bid changes, you will receive notifications via email and push (if you have the Sotheby’s App installed) leading up to the live auction. You may raise your maximum bid at any time in advance of the live auction. Once the live auction begins, the auctioneer will open bidding at the current leading bid. The system will continue to bid on your behalf up to your predetermined maximum bid, or you may continue to bid via an Online Platform during the live auction at the next increment. You may nevertheless lower your maximum bid prior to the live auction by contacting the Bids Department, except that you may not lower it to a level lower than the current leading bid.

Please note that in certain circumstances, clients who have been outbid may be reinstated as the leading bidder and will receive notification via email or push (if enabled on your device).

Live Online Bidding

2. Once it commences, a live auction is by its nature fast-moving and bidding may progress very quickly. The procedure for placing bids during the live auction is therefore a one-step process; as soon as the “Place Bid” button is clicked, a bid is submitted. By bidding online, you accept and agree that bids submitted in this way are final and that you may not be permitted to amend or retract your bid. If a successful bid is sent to Sotheby’s from an Online Platform using your Sotheby’s account, you irrevocably agree to pay the full purchase price, including buyer’s premium, overhead premium and all applicable taxes and other applicable charges. You may nevertheless lower your maximum bid prior to the live auction by contacting the Bids Department, except that you may not lower it to a level lower than the current leading bid.

3. The next bidding increment is shown for your convenience. The auctioneer has discretion to vary increments for bidders in the auction room and on the telephone but bidders using Online Platforms to bid may not be able to place a bid in an amount other than a whole bidding increment. All bidding for the sale will be in the domestic currency of the sale location, and online bidders will not be able to see the currency conversion board that may be displayed in the auction room.

General use of an Online Platform

4. By bidding via an Online Platform, you accept and agree that bids submitted in this way are final and that you may not be permitted to amend or retract your bid. If a successful bid is sent to Sotheby’s from an Online Platform using your Sotheby’s account, you irrevocably agree to pay the full purchase price, including buyer’s premium, overhead premium and all applicable taxes and other applicable charges.

5. The record of sale kept by Sotheby’s will be taken as absolute and final in all disputes. In the event of a discrepancy between any online records or messages provided to you and the record of sale kept by Sotheby’s, the record of sale will govern.

6. Online bidders are responsible for making themselves aware of all saleroom notices and announcements which will be accessible on the Online Platforms.

7. Sotheby’s reserves the right to refuse or revoke permission to bid via Online Platforms and to remove bidding privileges during a sale.

8. The purchase information shown in the “My Bids” section of the Sotheby’s App and in the “Account Activity” section of “My Account” on sothebys.com is provided for your convenience only. Successful bidders will be notified and invoiced after the sale. In the event of any discrepancy between the online purchase information which may or may not be shown in the My Bids section and the invoice sent to you by Sotheby’s following the sale, the invoice prevails. Terms and conditions for payment and collection of property remain the same regardless of how the winning bid was submitted.

9. Sotheby’s offers online bidding as a convenience to our clients. Sotheby’s is not responsible for any errors or failures to execute bids placed online, including, without limitation, errors or failures caused by (i) a loss of connection to the internet or to the online bidding software by either Sotheby’s or the client; (ii) a breakdown or problems with the online bidding software; or (iii) a breakdown or problems with a client’s internet connection, computer or electronic device. Sotheby’s is not responsible for any failure to execute an online bid or for any errors or omissions in connection therewith.

10. Online bidding will be recorded.

11. In the event of any conflict between theses Online Terms and Sotheby’s Conditions of Business and the terms of Sotheby’s Authenticity Guarantee, Sotheby’s Conditions of Business and Authenticity Guarantee will control.
